BitGo completes acquisition of NYDIG's institutional trading business
BitGo completed the acquisition of NYDIG's institutional trading business and related assets on August 27, 2026, with an initial payment of US$42.5 million, in a mixed form of cash and stock. The transaction also includes a contingent cash payment of up to $15 million, which is linked to revenue milestones, so the final consideration will depend on the performance of the acquired business.
An initial payment of US$42.5 million and an income-linked earnings payment
According to filings with the U.S. Securities and Exchange Commission, the initial payment includes US$7 million in cash and approximately US$35.5 million in BitGo stock. BitGo stated in an announcement on August 27 that the transaction had been successfully completed.
The amount of US$42.5 million represents the initial payment of consideration, rather than the entire amount that may be paid after performance conditions are met. In addition to the cash and stock portfolio, the acquisition agreement also provides for additional contingent cash considerations of up to $15 million when two specific revenue milestones are reached.
According to the SEC filing, the contingent consideration also includes possible additional shares of BitGo. However, the disclosed terms do not set a fixed value for these potential additional shares, nor do they clarify specific income thresholds.
This structure leaves some transaction value uncertain after settlement: BitGo has acquired the business and related assets, but subsequent payments depend on meeting agreed revenue milestones.
NYDIG's derivatives and financing services fill the gap in the BitGo platform
BitGo described the acquisition in its investor relations announcement as an expansion of its derivatives and financing capabilities. The company announced and closed the transaction on the same day.
About 30 NYDIG employees joined BitGo in this acquisition. The acquisition business adds institutional derivatives, structured products, financing and capital markets services to BitGo's existing custody, clearing, wallet and trading platforms.
The consideration includes earnings payments linked to two specific revenue milestones. The salary plan of the relocated employees is linked to the achievement of the second milestone.
Revenue milestones also determine employee retention rewards
BitGo plans to award transferred employees restricted stock units with a target value of $5 million, as well as another cash retention reward with a target value of $5 million. According to the SEC filing, both awards will accrue when the second revenue milestone is reached.
The retention plan is calculated separately from the consideration for the acquisition of the business. The total target reward for the transferred employees is US$10 million, which is divided into restricted stock units and cash in equal amounts, and the vesting conditions depend on specific income outcomes.
For BitGo, this arrangement links contingent transaction consideration and some employee compensation to revenue milestones for the acquired business. Under the terms of the acquisition, a maximum of $15 million in contingent cash can be paid, plus possible additional BitGo shares, while $5 million in restricted stock units and $5 million in cash retention awards are specifically linked to the second milestone.
