ElizaOS founder announces the death of token and foundation disbanded

Shaw Walters, founder of ElizaOS (formerly ai16z), said through his personal X account that the project's token has died and his foundation is being disbanded. He wrote: "I have given up fighting for the token portion of the project and started a new attempt." "I will start from scratch, because I have intellectual property, and I will not let any tokens come close to Eliza again," Walters emphasized. He revealed that he had handed over the team's last treasury and cash reserves to the plaintiff as settlement money.

Why did Walters shut down ElizaOS?

Of all the issues plaguing the platform, the federal class action lawsuit filed by Burwick Law seems to be the last straw that breaks the camel's back. Walters said the settlement did not mean the project did anything wrong: "Their allegations were ridiculous, but we didn't have enough money to defend it legally, so we had to hand over the remaining assets to them." He also refuted the claim that he cashed out: "I have never sold ai16z tokens, and I have never made any money except for my meager salary. My income is the same as other engineers, which is equivalent to a full-time job."

From a peak of $2.6 billion to old contracts worth $358,000

The project was launched on Solana on October 24, 2024 in AI 16Z code and is positioned as a decentralized autonomous organization (DAO) run by autonomous AI agents. By January 2, 2025, the token reached an all-time high of $2.48, with a fully diluted valuation (FDV) exceeding $2.5 billion. Because the project name ai16z is similar to venture capital firm Andreessen Horowitz's a16z, which asked it to stop using the abbreviation, the project was renamed ElizaOS at the end of January 2025. Subsequently, tokens were moved to the new ELIZAOS, and the total supply expanded from approximately 1.1 billion to 11 billion, with old token holders being able to exchange them at a ratio of 1:6.

The current trading price of the abandoned AI16Z contract is approximately US$0.00033, and its market value is approximately US$358,000, down more than 99% from its historical high. The current trading price of the successor ELIZAOS token is approximately US$0.00031, with a market value of US$2.91 million. It briefly hit a historical low of approximately US$0.0002954 on August 5.

Burwick Law's allegations against ElizaOS

The lawsuit was filed in the U.S. District Court for the Southern District of New York, and the defendants include Eliza Labs Inc., Walters, Sebastian Quinn-Watson, and the AI 16Z DAO. The complaint alleges that at least 3945 wallet addresses suffered losses during the project, demanding triple compensation, return of illegal gains, and the establishment of a constructive trust for traceable assets. The plaintiff claimed that the project's publicity was governed by independent AI agents, but in fact it was manually controlled. They also cited a report dated October 30, 2024, which for the first time questioned the authenticity of "Marc A Indreessen" identity. Burwick Law also noted that the team is using the a16z brand to drive up demand, and that the 2025 token migration allocated approximately 40% of new supply to insiders and private investors. Walters has consistently denied the substance of the allegations.

Walters 'next step

Although Walters said the foundation was being disbanded, he did not confirm the end of the Eliza project. He wrote: "We are still building Eliza and its underlying operating system faster and better than ever before, no longer burdened by unnecessary distractions, side tasks, and the pressure to launch the 83837th launch platform." Hours before announcing the end of the token, he said he was "seeking to work with robotics, physical AI and hardware companies" and said they were building Linux-based proxy operating systems for those areas, licensed by MIT and fully white-labeled. He added that if a more advanced open source proxy system existed, he would be happy to abandon ElizaOS, but no other project currently reaches the level his team has built.
