Metaplane plans to acquire Super League for 2100 bitcoins and $2.5 million, aiming to enter the U.S.

Metaplanet acquired Super League and deployed 2,100 bitcoins and US$2.5 million in the U.S. market.

Japanese investment company Metaplanet is known for its aggressive Bitcoin strategy and recently announced that it will officially enter the U.S. market through the acquisition of Super League Enterprise. The deal involves exchanging 2,100 bitcoins and US$2.5 million for controlling shares, and plans to build a new Bitcoin treasury platform in the United States.

After the acquisition of Super League and American Strategy

is completed, the combined entity will be renamed Superplanet and traded on Nasdaq under the ticker symbol SUPA. According to Metaplanet, it expects to hold approximately 95.7% of the new company's common stock and consolidate almost all voting rights.

Metaplanet made it clear that it plans to replicate its proven Bitcoin treasury strategy to the larger and more mature U.S. digital asset market. The company has stated that after the acquisition is completed, all bitcoins under Superplanet's control will be fully included in Metaplanet's positions.

Metaplanet views the transaction as an important milestone aimed at strengthening its influence in the U.S. digital asset market while maintaining the flow of funds from Japan.

The planned corporate architecture will include two independently listed companies: Metaplane operates in Japan and Superplanet operates in the United States. Metaplanet will be funded mainly in yen, while Superplanet will operate in U.S. dollars. This dual-market architecture is designed to optimize capital acquisition capabilities in both regions.

For example, the company outlined a scenario where Superplanet doubled its Bitcoin position from the initial 2,100 BTC to 4,200 BTC through preferred stock financing. According to Metaplanet's forecast, this will increase Bitcoin holdings per Metaplanet stock by approximately 4.7%.

Timeline and Regulatory Approval

This ambitious plan still requires multiple approval steps, including Metaplanet shareholder consent, regulatory review and NASDAQ authorization. If all obstacles are cleared, the transaction could be completed in the fourth quarter of 2026.

Metaplanet adopted a bitcoin-centered treasury strategy for the first time last year and has steadily accumulated considerable reserves. Although the company temporarily stopped Bitcoin purchases after the market downturn in 2026, it resumed acquisitions in July. It is currently estimated to hold approximately 43,000 BTC, making it the third-largest known holder of corporate Bitcoin.

Strategy leads all listed companies with positions of approximately 840,447 BTC, while Twenty One Capital holds approximately 43,514 BTC, slightly higher than Metaplan's total.

By expanding its operations into the United States, Metaplanet aims to diversify its funding sources in yen and U.S. dollars and consolidate its position as a leading player in the corporate Bitcoin market.
