Metaplane plans to expand its influence in the U.S. digital asset market with a major acquisition. The company will transfer 2,100 bitcoins and $2.5 million in cash in an effort to build a US-based bitcoin treasury platform. After the transaction is completed, the name of the listed company will be changed to Superplanet and the ticker symbol will be SUPA.
Transaction structure and purpose
Metaplane intends to transplant its Bitcoin treasury model successfully implemented in Japan to more mature U.S. financial markets. The plan envisions a dual-company structure with a public listing in both Japan and the United States. Accordingly, Metaplanet will continue to raise funds in Japanese yen in Japan, while Superplanet will be responsible for dollar-based financing in the United States.
Upon completion of the acquisition, Metaplane is expected to hold approximately 95.7% of Superplanet's common shares and voting rights. All bitcoins obtained by Superplanet will be included in the Metaplanet Group's total bitcoin position.
Metaplanet is looking to strengthen its Bitcoin treasury in the United States by adding a dollar-based company to supplement its existing structure in Japan. An important part of its strategy may be the issuance of dollar-denominated perpetual preferred shares. The funds raised will be used to purchase more bitcoins for Superplanet's balance sheet. According to the presentation materials, if Superplanet accumulated preferred capital equivalent to the value of its initial 2,100 bitcoins position, it could purchase an additional 2,100 bitcoins.
Bitcoin Positions and Additional Financing Plans
Under this scenario, the new entity's Bitcoin holdings could surge from 2,100 to 4,200. Metaplanet expects this move to increase the bitcoin content per share by approximately 4.7%.
In addition, Metaplane has the ability to invest up to US$210 million in an additional investment in Superplanet, potentially obtaining long-term purchase rights for approximately 381 million shares. Example calculations in the presentation material show that if the initial position of 2,100 bitcoins is backed by an equal amount of additional capital, the asset size can reach 4,200 bitcoins.
Approval Process and Current Status
However, final completion of the transaction requires shareholder approval and approval from Nasdaq and other regulatory agencies. If all approvals are approved, the process is expected to start in the fourth quarter of 2026.
Metaplanet launched its Bitcoin treasury strategy last year. The company temporarily stopped Bitcoin acquisitions during a weak market in 2026, but resumed purchases in July this year. Metaplanet's holdings are estimated to be approximately 43,000 bitcoins, making it the third-largest institutional bitcoin holder based on public data.
In the corporate rankings, Twenty One Capital slightly beat Metaplanet with 43,514 bitcoins, while Strategy holds approximately 840,447 bitcoins, ranking first. With this new structure in the United States, Metaplane hopes to enhance its ability to obtain U.S. dollar financing and expand its Bitcoin holdings in two major capital markets.
