Evernorth takes a major step towards XRP expansion

Evernorth Holdings priced its leadership team

Cryptocurrency expert BankXRP (@BankXRP) took note of the news and issued a post referring to the company's latest filing with the U.S. Securities and Exchange Commission (SEC). On July 29, Evernorth filed Amendment No. 5 to its S-4 registration statement with the SEC. The document pushes its merger with Armada Acquisition Corp II towards the end and discloses specific compensation for its executives.

Entering Nasdaq

Evernorth hopes to become the largest publicly traded XRP finance company. The plan is achieved through the merger of SPAC and Armada Acquisition Corp II. After the merger is completed, the new company will be traded on Nasdaq under the symbol XRPN. Evernorth holds 473 million XRP tokens, which were accumulated through purchases and Ripple's contributions. The company does not just hold XRP in place, but aims to increase its XRP holdings per share through loan markets, liquidity provision, and verification node operations on the XRP ledger. Ripple's RLUSD stablecoin is also included in this strategy.

Evernorth's Leadership

CEO Asheesh Birla has more than 25 years of experience in Silicon Valley and has helped Ripple grow from a startup to a company with more than 1000 employees. Chief Legal Officer Jessica Jonas started her career in commercial litigation and later held senior positions at Gemini and American Express. Chief Commercial Officer Sagar Shah has worked in Ripple's XRP ecosystem for nearly a decade, participated in the launch of RLUSD and led the acquisition of hosting platform Metaco. Chief Operating Officer Meg Nakamura founded and runs Apto Payments, building the card infrastructure for companies such as Coinbase and Venmo.

The mystery behind the incentive numbers

The employment terms of Jonas, Shah and Nakamura are quite interesting. Jonas received a basic salary of $400,000, a 50% target bonus and $4.5 million in restricted stock units (RSUs). Shah and Nakamura each received a basic salary of $300,000, a 50% target bonus and a $2.8 million RSU. Adding those numbers up, Evernorth has committed more than $10 million in equity to three executives alone, in addition to basic salary and bonus targets. The 50% target bonus suggests the company is making a big bet that its executives can achieve aggressive growth goals before and after the Nasdaq IPO.

Is this good for XRP?

A Nasdaq-listed company built entirely around XRP provides institutional investors with a regulated path to gain risk exposure without directly holding tokens. Linking executive compensation to performance targets will push Evernorth leadership to increase the company's XRP holdings and generate revenue through the XRP ledger. A successful listing would also set a precedent, demonstrating that XRP can support the same financial company model as Bitcoin, thereby attracting institutional demand.
