The three acquisitions-Insignto, Ottawa Defense and Caribou Labs-are designed to enhance Ondas's autonomous defense capabilities in drone identification, resilient battlefield communications, and navigation systems without GPS availability. Ondas has acquired Insignito, Ottopia Defense and Caribou Labs, adding passive acoustic sensing, elastic connectivity and navigation capabilities in GNSS denial environments, which it plans to integrate into its autonomous defense portfolio.

The purchase price of $56 million will be settled through a combination of cash and company equity. If the acquired entity reaches specific milestones between now and 2028, additional performance-based payments totaling up to $32 million could be triggered.
Strategic acquisition strengthens defense technology portfolio
Insignto brings passive acoustic detection capabilities specifically used to identify and monitor drones through acoustic signatures. The company's DUMBO platform has been deployed in active combat areas and specializes in detecting smaller first-person perspective (FPV) drones and low-altitude aircraft that evade traditional radar systems.
Ottawa Defense focuses on communications infrastructure and remote operation software for unmanned platforms. The technology can reliably transmit video feeds, telemetry data and control instructions over networks with limited bandwidth or unstable connections, ensuring operators maintain effective control under harsh operating conditions.
Caribou Labs provides resilient positioning and communications technology designed for scenarios where GPS signals are damaged or completely unavailable. The company's solutions are currently operating in active conflict theaters and are expected to integrate seamlessly with Ondas's existing air, ground and command infrastructure.
According to company leadership, these acquisitions advance its comprehensive "system-by-system" approach by combining detection, connectivity, positioning and autonomy capabilities to form a unified defense product. Management emphasized that the US$56 million transaction value is less than three times the total revenue of these three businesses in 2027. However, this multiple is calculated based on Ondas internal forecasts rather than independently verified financial forecasts.
Equity issuance raises shareholder dilution concerns
The transaction involves the creation of a large number of new shares. Ondas has authorized the issue of approximately 2.98 million restricted stock units (RSUs), plus options covering an additional 80,000 shares, for 37 employees transferred from the acquired company.
An accompanying Securities and Exchange Commission (SEC) filing registered approximately 7.82 million shares of ONDS stock for potential resale (secondary sales) by stakeholders associated with Insignto, Caribou Labs and Ottopia transactions. The company will not receive any revenue from these secondary sales.
Although this secondary sale registration only represents a small portion of the approximately 582 million ONDS shares outstanding, it does introduce additional selling pressure on the market. Contractual restrictions limit the speed at which acquisition-related shareholders can liquidate positions.
The main investment focus is on successful integration, shareholder dilution and operational execution. Ondas must demonstrate that the newly acquired technology can generate expected revenue and generate sufficient synergies with existing businesses to verify acquisition costs.
