OpenWorld and BeyondAI have reached a non-binding letter of intent of up to US$130 million to raise funds backed by intellectual property

October 7, 2026, OpenWorld, Inc. A Form 8-K filing with the U.S. Securities and Exchange Commission (SEC) disclosed that it had engaged in a joint venture with Beyond Limits, Inc. (referred to as BeyondAI) signed a non-binding letter of intent. The agreement aims to reach a financing transaction backed by intellectual property, with a total size of up to US$130 million.

Transaction structure and asset tokenization

According to the proposed transaction structure, eligible patents and software rights held by BeyondAI will be tokenized on the chain. Each digital token will represent the investor's right to payments supported by that intellectual property. OpenWorld focuses on the tokenization of real-world assets and said the arrangement aims to transform BeyondAI's intellectual property into "financeable, well-governed collateral" built on a transparent on-chain structure to ensure that funds flow to token holders have clear governance mechanisms.

Industry background and technology origins

Matthew Shaw, CEO of OpenWorld, said in the announcement: "Intellectual property is one of the largest and most underfunded asset classes held by technology companies." He sees the deal as a template to free up capital accumulated in patent portfolios that traditional lenders are difficult to value or use as collateral.

BeyondAI's technical roots can be traced back to NASA's Jet Propulsion Laboratory. The company's investors include well-known institutions such as Aramco Ventures, ILA and BP Ventures.

Market Trends and Future Outlook

OpenWorld was established in 2023, and the cumulative network value of blockchain project consulting since its establishment has exceeded US$66 billion. This cooperation with BeyondAI is seen as its latest move to bring traditional corporate assets into the tokenization track. Currently, the transaction is still in a non-binding stage, the final terms and tokenization structure have not yet been determined, and further details need to be finalized before any financing is completed. Both parties were cautious that the letter of intent did not guarantee that it would ultimately translate into a completed transaction.

The deal reflects a broader effort by tokenization experts to expand from real estate and fixed income products to unconventional types of collateral such as patents and software. The industry is betting on artificial intelligence companies with high-value but illiquid intellectual property portfolios, arguing that they represent underserved areas of the blockchain-based financing market. If the transaction is completed successfully, BeyondAI will gain a new financing channel that eliminates the need for traditional equity financing or bank loans; it will also provide OpenWorld with a high-profile showcase of its broader tokenization consulting business.
