Copart shares rise after the US$1.9 billion acquisition of ACV
- ACV expands the reach of Copart's digital wholesale business.

Copart's share price rises sharply after announcing a $1.9 billion acquisition of ACV.
Before Friday's market, Copart announced a $1.9 billion acquisition of ACV, and its share price rose 6.24%. Under the unanimously agreed agreement, Copart will acquire all outstanding shares of ACV in cash at a price of $10.50 per share. This offer is approximately 45% premium to ACV's closing price on August 10 and 41% premium to the 30th day average price ending September 9.
The transaction adds ACV's digital wholesale platform to Copart's online auction business, giving it broader inter-dealer sales and commercial remarketing channels. The combined business will extend Copart's services at more stages of the vehicle resale cycle. Currently, the boards of directors of both parties have approved the agreement and the transaction is expected to be completed by the end of 2026, subject to majority shareholder participation, regulatory approval and other standard conditions.
Before the market opened on Friday, Copart (CPRT) shares climbed to $32.67, or 6.24% from the close of $30.75 (down 4.00%). The acquisition further consolidates Copart's position in the automotive remarketing space and expands the reach of its digital wholesale business.
ACV expands Copart's digital wholesale business footprint
ACV operates a digital trading platform for dealers and commercial customers in the used car market, which supports vehicle procurement, testing, pricing data and wholesale transactions. Copart expects these capabilities to complement its physical network of more than 250 locations.
The combined business will connect Copart's buyer network with ACV's dealer and tester network. This structure is expected to facilitate the flow of vehicles between dealers, scrapped vehicles and international channels, while also providing more space for Copart to expand transportation and commercial vehicle services.
In addition, the Detection Tools, vehicle condition data and artificial intelligence-based valuation services brought by ACV will also be integrated into the existing service system by Copart, thereby enhancing its vehicle data processing capabilities. Both parties expect these technologies to optimize vehicle pricing, inspection and remarketing processes.
Copart targets synergies and fiscal 2028 earnings growth
Copart expects the acquisition to create cost and revenue synergies across multiple automotive channels. The company expects the transaction's impact on earnings per share to remain neutral in the first full ownership year; management expects the transaction to have a thickening effect on earnings from fiscal year 2028.
The acquisition also supports Copart's strategy to expand into vehicle sales and technology-enabled automotive services. ACV strengthens this strategy with its dealer-focused platform and a broader portfolio of digital tools. The businesses of the two companies will cover areas such as replacement, wholesale and re-marketing, scrapping vehicle sales and international resale.
Copart brings a mature global auction network and significant physical infrastructure to the transaction, while ACV complements a complementary digital platform with strong dealer engagement and nationwide testing coverage. This combination not only expands Copart's remarketing footprint, but also opens up another long-term growth channel for it.
