无中介世界中的信义义务
几个世纪以来,金融体系一直依赖于人们与其资金之间的中介机构。银行持有存款,经纪人执行交易。这些关系产生了一种基本的法律预期:如果你被赋予管理他人资金的权力,你就可能对该人负有谨慎和忠诚的义务。
加密货币的设计初衷正是为了消除这一前提。用户可以持有自己的私钥,并通过智能合约进行交易,而无需依赖经纪人。同样的逻辑也适用于去中心化自治组织(DAO),在那里,人们集体管理金融产品,而不是通过单一机构。这就引出了一个棘手的法律问题:如果没有明显的中介方,当出现问题时,谁该负责?
随着监管机构和法院面对DeFi、自我托管和去中心化治理中的信义义务问题,答案变得越来越重要。
信义关系为何存在
当一个人接受了一个职位,而另一个人合理地依赖其以该人的利益行事时,便形成了信义关系。经典的例子是受托人为受益人管理资金;受托人不能仅仅因为受益人无法看到幕后情况就秘密使用资产谋取私利。
因此,法律强加了一项严格的忠诚标准,要求诚实信用,并避免个人利益与服务对象利益之间的冲突。这就是为什么信义法律在金融领域至关重要。它是为权力和脆弱性不平等的情况而设计的。问题在于,DeFi 刻意试图消除这种关系。智能合约不承诺照顾任何人,流动性池也不关心任何人的财务状况。一个 DAO 可能有数千名互不相识的代币持有者,这导致了这样一种奇怪的可能性:即使某人的行为可能摧毁他人的资产,也没有人承担信义责任。
DAO 真的能承担责任吗?
DAO 通常被描述为由代码和代币投票治理的社区,但法院越来越多地拒绝假设称某物为“去中心化”就会使法律责任消失。最清晰的警告之一来自商品期货交易委员会(CFTC)对 Ooki DAO 的案件。
2023年,一家联邦法院在对 Ooki DAO 作出缺席判决后认定,该 DAO 运营着一个提供零售商品交易的平台,但未遵守《商品交易法》。法院将 DAO 视为能够承担法律责任的被告。
该案并未确立每个 DAO 都负有信义义务,但它确立了一个更基本但极其重要的观点:将组织置于区块链上并不会自动使其脱离法律体系。bZx DAO 诉讼提供了另一个有用的例子。
用户因一起安全事件导致约5500万美元损失而起诉 bZx DAO 及相关方。2023年,联邦法院允许针对 DAO 的过失索赔继续进行,并认定原告充分指控 DAO 对其负有在管理协议安全方面行使合理注意力的义务。
注意义务并不自动等同于信义义务,因为信义义务通常需要更深层次的关系,涉及忠诚并接受对他人的利益负责。最近的诉讼显示了这一领域的动荡不安。在2026年涉及 ICHI 协议和 oneTokens 的一起特拉华州案件中,法院驳回了基于信义义务的索赔,因为指控描述的是臂距商业关系,而非接受的信任职位。因此,新兴的教训并非 DAO 自动成为信义人,而是法院正在审视 DAO 的实际运作,而不是将去中心化作为法律盾牌。
协议设计师会成为信义人吗?
想象一下,一个团队控制着数十亿美元所依赖的软件,开发人员可以更改代码、发布升级,或者有时影响系统如何应对危机。他们仅仅是程序员,还是可能成为协议设计师形式的信义人?
Tulip Trading案将这个问题摆在了台面上。原告 Tulip Trading Limited 是一家注册于塞舌尔的公司,由 Craig Wright 博士控制,他多年来在全球各地的法庭上声称自己是比特币匿名创始人中本聪。Tulip 声称,在所谓的中本聪家庭计算机系统遭到黑客攻击后,失去了约40亿美元的比特币访问权限(该攻击移除了控制资金所需的私钥),相关比特币网络的开发人员对其负有义务。Tulip 辩称,鉴于开发人员对相关网络的控制权,他们可以实施软件补丁以帮助恢复资产,而不这样做构成了违约。
高等法院最初拒绝了认为所述事实产生注意力的论点,但上诉法院后来裁定,该索赔提出了一个严重的问题,不应在此阶段被驳回。它并没有最终宣布比特币开发人员是信义人,而是承认该关系提出了一个足够严重的法律问题,需要进一步考虑。
如果一小群人持续控制软件,用户 heavily 依赖这种控制权,并且这些开发人员在他人财产上行使实质性的自由裁量权,那么这一论点就很难被忽视。学术界和法律改革工作目前正在仔细研究这一问题,包括软件开发商和 DAO 参与者是否可以承担这些义务。
钱包提供商呢?
Self-managed wallets usually mean that users control private keys, and providers do not hold assets like banks hold customer deposits. If you lose your key, the wallet company may not be able to recover your funds, which is the basic transaction behind self-custody and the duty of care. You gain control, but you also accept responsibility.
The 2026 Securities and Exchange Commission (SEC) employee statement distinguishes between self-custodial wallets and arrangements where providers own or control customer assets. It describes a true self-managed wallet as a wallet where providers have no access to users 'private keys or independently initiate, revoke, or block transactions, so self-managed is not just a technical feature, but a redistribution of responsibilities.
If a bank loses your money due to an internal failure, legal and regulatory mechanisms may provide compensation, but if you approve malicious smart contract transactions from your own wallet, the situation may be very different. Without intermediaries, there may be no one standing between you and the consequences.
Self-hosting does not mean that everyone is exempt from liability.
This does not mean that users should accept every loss as their own fault, because there is a significant difference between the risk of voluntarily accepting self-hosting and being misled by the company that controls the self-hosting operating interface.
Suppose a wallet clearly tells you you are signing a transaction worth $100, but the software secretly changes the transaction to transfer $10,000. Calling wallets "unmanaged" should not automatically resolve legal issues.

监管正在重建某些中介

这实际上是在尝试回答中介问题,同时不假装每条区块链都是一家银行。问题变成了谁有足够的控制力、责任或影响力来证明监管的合理性,以及哪种方法最终会塑造点对点系统中谁负有信义义务。
一个真正点对点的系统,其中任何一方都不控制另一方,可能与选择交易、控制信息、制定规则并从用户那里赚取费用的平台产生的关系不同。“P2P”这个词因此告诉我们关于法律责任的惊人信息很少。
DeFi中信义义务的真实未来
The most likely future is not for every developer, token holder, or wallet company to become a believer; this will make decentralized software almost impossible to operate. Similarly, it is unrealistic to assume that everyone can evade responsibility simply because software uses blockchain; a more practical approach would be to review powers, controls, dependencies, and commitments that could lead to a shift in responsibility.
Developers who publish open source code without continuous control are very different from companies that control upgrade keys. A DAO with thousands of independent participants is very different from a small group that controls governance and presents the system as decentralized. A wallet that only stores private keys is very different from an interface that recommends investments and routes transactions.
This comes down to the heart of the debate surrounding the duty of faith in DeFi: Cryptocurrency eliminates many traditional intermediaries, but it does not eliminate power relationships because code is still written. Someone controls the interface, manages the treasury, determines which proposals go to the vote, and profits from user activities.
And this could lead to the most important principle of decentralized finance: removing intermediaries does not necessarily mean removing liability. It may just make responsibility more difficult to identify.
