Although Circle and Binance previously signed commercial agreements in 2024 and 2025, the new five-year arrangement replaces previous contracts and establishes new terms for the two parties to cooperate. Binance will not sell, transfer or hedge its shares for the next two years. However, there are certain customary exceptions, such as specific situations involving the termination of their commercial agreements. During the restriction period, Binance still retains the voting rights attached to the shares. In addition, if specific conditions occur, either party may terminate the agreement before expiration.
Five-year agreement pegs Binance revenue to USDC wallet balance
The expanded partnership covers USDC held through Circle's modular smart contract wallet infrastructure. Under the agreement, Circle will pay Binance a monthly incentive fee. Circle will calculate each payment based on the proportion of USDC held through the supported services. As a result, Binance's earnings will depend in part on the balance associated with Circle's infrastructure.
This structure gives Binance a direct economic benefit in promoting USDC access through supported products. At the same time, Circle has also gained broader distribution channels through one of the largest exchanges in the cryptocurrency industry. USDC plays multiple roles in the cryptocurrency market, including payments, settlements, collateral, and transfers between trading platforms. Its dollar-backed architecture also provides traders with alternatives to traditional banking channels in the digital asset market.
Circle expands infrastructure with Arc mainnet
In addition to expanding USDC distribution, Circle has also expanded its business with its Layer 1 blockchain Arc. Circle launched Arc's public main network, with USDC serving as the network's transaction fee asset. When the main network was launched, more than 100 applications had been launched. At the same time, Circle formed a group of founding validators made up of major financial and payment companies.
BlackRock, DTCC, ICE, MasterCard and Visa have joined Arc's initial group of verifiers. Their participation connects blockchain to asset management, clearing, exchange infrastructure and global payment networks. It is worth noting that Binance's purchase of equity deepened the previous relationship between the two parties, which was mainly centered on commercial agreements. The investment also gives Binance access to Circle's broader areas of expansion beyond stablecoin issuance.
Circle gained access to Binance's vast international customer base and distribution network. Binance received ownership interests and USDC-related incentives through the same partnership. These comprehensive agreements establish long-term relationships between companies that cover stablecoin distribution, wallet services and blockchain infrastructure. Their arrangement also directly links Binance's business return to USDC adoption rates under Circle-supported technologies.
