FollowingMoonPay 收购 North Capital，斥资逾 6000 万美元打造合规基础设施
加密货币支付公司 MoonPay 已同意收购私募市场基础设施提供商 North Capital。North Capital 旗下实体在美国证券交易委员会（SEC）拥有多项注册资质。两家公司于 9 月 23 日宣布了这一交易。据知情人士透露，这笔交易以全股票形式进行，价值超过 6000 万美元。
总部位于犹他州米德尔瓦尔的 North Capital 已处理超过 87 亿美元的一级和二级市场交易量。其受监管的附属机构包括经纪自营商、另类交易系统（ATS）、过户代理和投资顾问。目前，两家公司的董事会均已批准该交易，但在最终完成前仍需获得监管机构的批准并满足标准的交割条件。
现代化、可编程的基础设施
MoonPay 首席执行官 Ivan Soto-Wright 表示，此次收购旨在“建立监管基础，以支持现实世界资产代币化的大规模采用”。他将目标描述为通过“现代化、可编程的基础设施”连接金融系统的不同部分。交易完成后，North Capital 将成为 MoonPay 的全资子公司。
North Capital provides securities tokenization technology on behalf of private equity issuers and fund managers to support financing, asset management, clearing, custody and secondary market transactions. Its full set of SEC-registered entities will provide the regulatory foundation for MoonPay to issue, manage and trade private and tokenized securities, eliminating the need to build capabilities from scratch.
MoonPay's acquisition strategy goes beyond payments
North Capital's transaction continues MoonPay's pace of mergers and acquisitions this year and marks the expansion of its business from spot cryptocurrency payments into a broader field. Previous acquisitions include: Sodot, a key management company in the institutional custody space, DFlow, an online market trading infrastructure platform, and Entendre, a financial operation tool focusing on artificial intelligence. In addition, MoonPay operates a platform called Trade, which aims to connect banks and fintech companies with tokenized assets, decentralized finance (DeFi) protocols, and stablecoin liquidity.
According to Traxcn, the last time MoonPay raised external funds was in October 2021, when it completed a seed round of financing of US$2.18 million. The company is currently valued at US$3.4 billion, with investors including Karlani Capital and Fiduciary Trust International.
Real-world asset tokenization refers to the conversion of stocks, bonds, commodities and other similar assets into digital tokens, so that they can be bought, sold and traded on the blockchain. The approach is attracting growing institutional interest, and analysts predict that the total market size in the sector could reach trillions of dollars in the next few years.
