Hyperliquid Strategies amendment agreement raises share sale cap to US$2.5 billion

Hyperliquid Strategies filed an amendment with the U.S. Securities and Exchange Commission on September 1, increasing the cap on its share sale agreement with Chardan Capital Markets from US$1 billion to US$2.5 billion. The agreement, originally signed in October 2025, allows Hyperliquid Strategies to direct New York-based investment bank and broker Chardan to purchase newly issued common shares at set intervals, which will then be resold by Chardan on the open market. The revision increases the maximum total value of shares that can be sold through the mechanism.

The actual meaning of the $2.5 billion figure

This $2.5 billion is the upper limit on financing capacity, not the funds already available. Each time a company uses the mechanism, it issues new shares, increasing total share capital and potentially diluting existing investors 'shareholdings. Prior to this revision, Hyperliquid Strategies reported that it had raised $647 million through the same mechanism. The company also disclosed that it held approximately 29.3 million Hyperliquid (HYPE) tokens in its treasury at the time.

HYPE rose more than 20% in August 2026 after U.S. President Donald Trump said Commodity Futures Trading Commission Chairman Michael Selig was working hard to promote the Hyperliquid decentralized trading platform to enter the U.S. market "in a fully compliant and legal manner." Since then, Hyperliquid Strategies shares have risen 30.4%.

Independent of tracked protocol

Despite having the same name as the Hyperliquid protocol and holding its native tokens, Hyperliquid Strategies said it has no formal connection with the platform. The Nasdaq-listed company describes itself as an independent entity. Its financial strategy revolves around accumulating HYPE tokens. The expanded financing mechanism allows it to raise more funds through stock sales and use the proceeds to further purchase of tokens, depending on market conditions and pricing terms set out in the agreement.
