Hyperliquid Strategies Inc (NASDAQ: PURR), a publicly listed company in the Hyperliquid trading ecosystem, disclosed in a Form 8-K filed on September 1 that it has expanded its committed equity financing line with Chardan Capital Markets LLC from $1 billion to $2.5 billion. The report, filed with the U.S. Securities and Exchange Commission, amends the ChEF purchase agreement first signed by the two parties in October 2025.
First Amendment increases the total commitment amount
Under the First Amendment, Hyperliquid may issue newly created common shares to Chardan from US$1 billion to US$2.5 billion (total purchase price), subject to the terms, conditions and limitations of the original agreement. The increase provides a larger equity line that the company can gradually withdraw over time rather than immediately raising capital, the documents show. A copy of the amendment is submitted as Attachment 10.1 to Form 8-K and is cited for inclusion in this report.
Exchange caps and Nasdaq limits
documents also clarify exchange caps that limit dilution. After selling US$1 billion of shares under this quota, Hyperliquid will not issue shares at a price less than US$12.02 per share if the transaction will result in a total issuance of more than 42,641,847 shares (approximately 19.99% of the shares in issue before the amendment) unless shareholder approval is obtained in accordance with Nasdaq Stock Market Rules. This threshold reflects Nasdaq's listing standards, which require shareholder approval when issues meet or exceed 20% of the outstanding shares. The company is incorporated in Delaware and its main executive office is located at 477 Madison Avenue in New York.
Providing more financing firepower to the ecosystem
The expanded limit provides Hyperliquid Strategies with additional flexibility to support its growth deep into the institutional crypto market. The company's HYPE tokens have already undergone a major unlock, and the platform has expanded into tokenized stocks this year along with other institutions. The commitment itself did not bring new benefits, but raised the cap on the company's funding from Chardan to allow it to expand its trading and tokenization ambitions. The document did not say how any future gains would be used.
