Amaze Holdings announced that it has signed a letter of intent to acquire BullionFX assets for approximately US$155 million in stock

Newport Beach, California, USA, September 29, 2026 - Amaze Holdings, Inc. (NYSE U.S. code: AMZE)(hereinafter referred to as "Amaze" or the "Company") today announced that it has signed a binding letter of intent (LOI) to acquire BullionFX's assets, including its core platform Alchemy (collectively the "BullionFX Assets"), for a transaction consideration of approximately US$155 million worth of shares.

BullionFX assets cover the technology, infrastructure and intellectual property of a blockchain financial ecosystem built around auditable physical gold. If the transaction is completed, it will be an important step in Amaze's strategic expansion, extending its business beyond creator commerce into gold-backed digital asset infrastructure. The transaction comes against the backdrop of a comprehensive recovery of the cryptocurrency market, rapid growth in trading volume in the stablecoin industry, institutional re-participation in digital asset investment, and the continued strength of gold as a long-term store of value.

According to data from Visa Onchain Analytics (Allium), as of June 2026, adjusted stablecoin transaction volume reached US$1.79 trillion, a year-on-year increase of 125%.

Strategic Cooperation and Vision

Joel Krutz, interim CEO of Amaze, said: "The emerging momentum of cryptocurrencies and the lasting role of gold as a store of value have opened a rare window for infrastructure building based on both. Through this acquisition, Amaze will gain access to the technology, infrastructure and intellectual property of a comprehensive decentralized finance (DeFi) ecosystem. In this ecosystem, the digital value of each unit is tied to the physical gold held by independent trustees. The platform's architecture supports lending protocols, revenue products, cross-chain interoperability, and an Ethereum-based Layer 2 network. The network aims to connect traditional finance with decentralized finance, while providing a wide range of functions for the fast-growing gold and dollar-backed stablecoin markets, including the ability to capture revenue opportunities.

After the transaction is completed, Amaze plans to prioritize activation of the self-managed retail wallet and revenue engine and serve as an initial institutional application to advance the development of the Listed Stable Asset Treasury ("SAT") tool for gold and the U.S. dollar subject to applicable regulatory approvals.
