The SEC proposal includes a conditional safe harbor clause that allows crypto assets to be deemed no longer subject to investment contracts if certain conditions are met. Issuers using these exemptions will still be subject to anti-fraud and anti-manipulation provisions, but disclosure and reporting obligations will differ between the two exemptions.

A March SEC-CFTC regulatory record shows that the two agencies designated "Project Crypto" as a joint action in January 2026 to coordinate federal oversight of the digital asset market. Their work covers areas such as product definitions, venue definitions, reporting standards, capital and margin frameworks, and coordinating the use of existing exemptions.

As previously reported, Armstrong argued before the Senate vote that if Congress did not advance the CLARITY Act, agency rule-making could continue. The SEC's proposed Crypto Assets Ordinance is still in the rule-making process, and its public comment period will remain open for 60 days after the proposed release document is published in the Federal Register.
