SEC Commissioner Hester Peirce: Some DeFi funds may constitute securities

U.S. Securities and Exchange Commission (SEC) Commissioner Hester Peirce stated in a statement titled "Inverted and Funding Pooling" on July 22, 2026 that certain DeFi funds may meet the definition of securities. She warned that moving loan and yield strategies on-chain would not automatically exempt them from federal securities laws.

Peirce currently leads the SEC's Cryptography Working Group. She pointed out directly in her statement that a pool of crypto-funds could constitute a common enterprise, in which users invest money and reasonably expect to benefit from the management activities of deployers or managers.

Hester Peirce's statement on the DeFi pool

Peirce wrote that moving activities on-chain does not usually remove those activities from the jurisdiction of federal securities laws. This statement suggests that deploying code alone will not exempt a product from regulatory review.

She further added that if a pool holds or allocates securities-type assets, it may fall into the category of an investment company, which needs to fulfill corresponding registration and information disclosure obligations. This reasoning continues her previous position that tokenized securities are still securities.

This statement on the pool extends this logic to pool managers and chain lenders.
