BTC CleanSpark issues US$2.276 billion in senior guaranteed notes to accelerate the deployment of data center and computing power businesses
According to a press release filed with the U.S. Securities and Exchange Commission (SEC), CleanSpark, Inc., one of the largest listed bitcoin miners in the United States. (Nasdaq: CLSK) issued senior guaranteed notes with a total amount of US$2.276 billion at a fixed price on September 18. The note has an annual interest rate of 7.75%, will mature in 2031, and is expected to complete delivery on September 25, 2026.
The main body of this offering is CSDC Finance I, LLC, a wholly-owned subsidiary of CleanSpark. The notes are sold privately to qualified institutional buyers and non-U.S. investors at an issue price of 98.5% of face value. Since the offering is conducted in accordance with Rule 144A and Regulation S and is not registered with the U.S. securities regulator, participation is limited to institutional investors and offshore buyers and is not open to retail investors. CleanSpark warned that the offering is subject to market and other conditions and there is no guarantee that delivery will be completed on current terms.
Use of funds: Support the construction of the Sandsville data center
CleanSpark said that the net proceeds from this offering will be used to pay for the remaining construction costs of the data center at its Sandersville facility in Georgia, repay the company's equity capital invested in the early stages of the project, and establish a debt services reserve.
Guarantee Structure: Asset Mortgage and Completion Guarantee
这些票据由CleanSpark的另一家子公司CSRE Properties Sandersville, LLC提供全额无条件担保。票据对发行人及CSRE Properties的大部分资产享有第一优先权留置权，并对发行人直接母公司CSDC Holdings I, LLC持有的发行人股权权益拥有留置权。此外，CleanSpark还承诺提供完工保证，若票据募集资金不足以按时完工，公司将注资补足差额。
