BNB Binance launches bStocks: tokenize U.S. securities 24/7
According to reports, Binance has launched a new product called "bStocks" that allows eligible users to trade tokenized assets representing U.S. securities on a cryptocurrency exchange 24/7. The move puts one of the world's largest trading platforms at the intersection of traditional stock markets and blockchain infrastructure, while also raising instant questions about who has access to the product and what legal protections they actually have.
Product Details and Regulatory Approval
According to an announcement released on June 12, 2026, bStocks was licensed to trade as a fully backed tokenized security issued by Binance related company BTech Holdings Limited. The initial lineup includes five well-known companies: Circle, Micron, Nvidia, Sandisk and Tesla. Each certificate is fully backed by the underlying shares held by the regulated custodian in a 1:1 ratio.
bStocks 'prospectus has been approved by the Abu Dhabi Global Markets (ADGM) Financial Services Regulatory Authority. Eligible users can hold bStocks on the coin platform, host them independently in a BNB Chain compatible wallet, or deploy them in supported DeFi applications.
Certificates rather than stocks: Restricted for US users
最关键的一点在于，币安明确指出bStocks是证书而非股票。持有人并不直接拥有底层上市公司的股票所有权。该产品明确禁止美国人士参与。

SEC委员赫斯特·皮尔斯（Hester M. Peirce）在另一份声明中更直白地指出：“无论区块链技术多么强大，它并没有魔法般的能力来改变底层资产的性质。代币化证券仍然是证券。”皮尔斯还警告称，与直接持有底层证券的持有人相比，购买第三方代币的买家可能面临独特的交易对手风险。

传统的美国股票市场在晚间、周末和节假日休市，而区块链网络则全年无休。通过在BNB Chain上发行代币化证书，币安允许在任何时间进行转账和交易，即使底层的纽约证券交易所或纳斯达克休市也是如此。
其实际影响在于，非交易时段的定价并未由实时底层市场活动锚定。在这些窗口期的流动性、结算条款和赎回机制由产品自身的文档规定，因此在交易前应直接查阅币安的官方条款。对于符合条件的用户，碎片化购买的最低入场门槛为5美元，这使得英伟达等高价位股票对小账户投资者来说触手可及。
合规成为币安的新品牌战略
bStocks的推出正值币安积极重建其合规基础设施之际。该交易所已聘请高级合规高管，以应对全球范围内的持续监管审查。选择将bStocks置于ADGM的监督之下，而非较宽松的司法管辖区，表明这是一种有意的定位策略。
明确排除美国人士也避开了最棘手的监管领域。通过不让美国投资者参与，币安避免了触发SEC对该产品的最直接管辖权，尽管监管机构已明确表示代币化证券不受联邦法律豁免。文章撰写时，BNB Chain的原生代币BNB交易价格为749.52美元，24小时内下跌2.38%，市值接近998亿美元。更广泛的市场恐惧与贪婪指数为71， firmly处于“贪婪”区间，表明投资者目前对风险偏好型产品持接受态度。
