RedotPay瞄准50亿美元估值，美国IPO筹备工作持续推进

RedotPay completed the financial audit required for its U.S. IPO, with a valuation target of more than US$5 billion.

The Hong Kong-based stablecoin payment company is making further preparations for its listing. RedotPay has completed the financial audit required for its potential U.S. initial public offering (IPO) and has separately reviewed its anti-money laundering (AML) and counter-terrorist financing (CFT) controls.

The company said its IPO plan had not been postponed, but did not provide a specific listing timetable. RedotPay is reportedly seeking a valuation of more than $5 billion as its user base reached 8.5 million in July.

Audit Details and Compliance Building

According to RedotPay, the financial audit was performed by a "Big Four" accounting firm, while another independent "Big Four" review focused on examining its anti-money laundering and counter-terrorism financing control mechanisms. The company did not disclose the name of the firm that specifically participated in the audit.

U.S. IPO prospectuses must include audited financial statements, so the financial review completed this time is one of the key steps RedotPay needs to complete before a potential IPO. As the company is improving its compliance framework, anti-money laundering and counter-terrorism financing assessments are conducted separately.

Michael Gao, CEO and co-founder of RedotPay, said: "We conduct these audits to enhance external confidence and trust in our financial reporting and compliance standards. This is also part of our preparations to launch the company into the public market."

IPO process accelerates

尽管8月份曾有报道质疑其上市时机，但RedotPay的最新声明表明，其美国IPO流程仍在积极进行中。此前曾报道，RedotPay曾考虑通过美国IPO筹集超过10亿美元资金，并将业务估值设定在40亿美元以上，当时摩根大通、高盛和杰富瑞参与了纽约上市的筹备工作。

2025年，RedotPay已通过多轮融资筹集了1.94亿美元。其中包括Lightspeed、Galaxy和HSG参与的4000万美元A轮融资，以及由Goodwater Capital、Pantera Capital和Blockchain Capital支持的1.07亿美元B轮融资。

然而，8月份彭博社曾报道，RedotPay在处理监管审批和法律纠纷期间推迟了IPO计划。对此，RedotPay于周一予以否认。“我们的IPO没有延期，”公司发言人表示，“我们正在与合作伙伴继续推进IPO流程。”

目前尚未提供修订后的上市时间表。知情人士透露，RedotPay目前的估值目标已超过50亿美元。该人士指出，第二季度公司的交易量创下历史新高，运营利润率超过50%，但未提供具体的财务数据。

RedotPay此前曾表示，其第二季度在用户数、收入、利润和利润率方面均创下了纪录，但未披露各项指标的具体数值。

香港业务的合规审查

此次单独进行的反洗钱和反恐融资审查覆盖了其在香港持牌的子公司，重点考察了治理结构、客户尽职调查、交易监控、质量保证、员工培训及合规资源等方面。

RedotPay今年9月初表示，审查评估了其针对相关香港指引的控制措施，发现其流程能够有效识别、评估和管理金融犯罪风险。

与此同时，公司一直在加强其在美国的监管布局。RedotPay于今年8月获得了其首张美国货币传输许可证，并表示正准备在美国推出其产品。

成立于2023年4月的RedotPay提供基于稳定币的数字钱包、支付卡和全球付款服务。用户可以通过其应用程序持有数字资产，通过关联的Visa卡进行消费，并进行跨境转账。

截至7月，其客户群已达到850万，较2月份的600多万有所增长。RedotPay的业务覆盖全球100多个国家，此前曾表示其年化支付处理量约为140亿美元。

随着业务的发展，稳定币卡的使用量也在增长。根据Paymentscan的数据，RedotPay在8月表示，稳定币卡的累计支出已突破109亿美元，其中7月份的单月支出首次超过10亿美元。

公司预计，得益于新兴市场的增长、监管环境的改善以及数字美元在支付、汇款和外汇服务中的应用，到2028年稳定币卡的年度支出可能达到500亿美元。

与币安的争议持续存在

在筹备上市的同时，RedotPay的创始人仍面临与币安（Binance）关联公司的法律纠纷。币安关联方在香港提起诉讼，索赔近4.73亿美元，指控RedotPay创始人在此前受雇于币安期间利用机密信息建立支付公司并转移客户。

原告方声称，机密信息的泄露帮助RedotPay发展业务，并吸引了数十万此前使用币安服务的用户。RedotPay驳斥了这些指控，并表示将“全力抗辩所有索赔”。

此外，新加坡也存在相关争议，双方就独立诉讼的状态存在分歧。RedotPay在8月表示，预计币安将在8月7日的听证会后撤销在新加坡的案件，而币安则表示并未撤回其主张。

两家公司的商业关系始于2023年，当时RedotPay在其支付卡上增加了对币安支付充值的支持。随后，币安于2026年4月3日停止了为RedotPay提供的支付功能，理由是对其商户合作伙伴进行了审查。

加密行业IPO管道面临放缓趋势

在其他几家数字资产公司将预期的美国上市推迟至更晚时期之际，RedotPay仍在继续其准备工作。Kraken母公司Payward在市场条件打乱原有时间表后，将其计划的IPO推迟至至少2027年第二季度。Payward曾在2025年11月秘密提交了S-1注册声明草案，此前其以200亿美元的估值筹集了8亿美元。

Hardware wallet maker Ledger suspended its U.S. IPO preparations in May after hiring Goldman Sachs, Jefferies and Barclays as advisers, a plan that could have pushed the company's valuation to about $4 billion. Consensus and Grayscale have also postponed their potential IPO plans.

Despite this, RedotPay insists its own IPO process is still in progress. The company has not said when it expects to file a prospectus or when its shares may begin trading in the United States.
