Canary Capital announces imminent launch of proposed TRX Pledged ETF
Asset manager Canary Capital said its proposed Canary Staked TRX ETF (ticker: TRXS) is "imminent" and directed investors to review its revised registration statement filed with the Securities and Exchange Commission (SEC) on August 19.
Summary of Core Points
- Product overview: Canary Capital said its TRX pledged ETF will soon be listed in the United States under the trading symbol TRXS.
- Fee structure: The latest SEC amendment lists an administrator fee of 1.10% per year for the exchange's share of products traded.
- Pledge strategy: The fund plans to pledge most of the TRX it holds while retaining 80% of the rewards generated.
- Custody arrangements: BitGo will be responsible for the custody of TRX, while U.S. Bank will separate custody of the trust's cash and assets.
- Current status: The registration declaration is still in the preliminary stage and a fixed release date or SEC entry into force notice has not been announced. As of September 4, there were no SEC effective notices in the history of fund public documents.
- Trading Information: The asset management company has not announced a specific trading date. Its latest document is still a preliminary prospectus, clearly stating that securities cannot be sold until the registration statement takes effect.
Product mechanism and goals
The product will be traded under the trading code TRXS. It will allow investors to gain price exposure to TRX through regular brokerage accounts while participating in the Pledge Process of the Tron Network.
The main goal of the fund is to track the price of TRX held by the trust, after deducting operating expenses and other liabilities. The second goal is to pledge tokens through the network's Proof-of-Stake process to earn additional TRX.
Pledge allocation and fee sharing
Canary expects to use most of the trust's TRX for pledge. The prospectus states that the pledge fee will not exceed 20% of the reward generated. Under the current structure, the trust will retain the remaining 80%.
Pledge fees will be distributed among the pledge provider, Canary and the manager. The rewards received by the fund will be included in its daily net asset value (NAV) calculation. This structure distinguishes the proposal from cryptocurrency funds that only hold base tokens. Previous reports have shown that competitors 'BNB ETF applications excluded pledge functionality when launched, while Canary made pledge a core part of its TRX proposal.
Exchange, Fees and Custody Details
According to the prospectus, TRXS is expected to be listed on the Cboe Exchange, provided that necessary regulatory and operational conditions are met. The fund will issue and redeem a basket containing 10,000 shares. Transactions can be conducted using cash or TRX, depending on the circumstances described in the document.
The August 19 amendment set the annual administrator fee at 1.10% of the trust's TRX holdings. This fee is accumulated daily and can be paid monthly in TRX or cash. Canary may waive some fees, but the prospectus states that it is not obligated to do so.
BitGo Bank & Trust will hold the fund's TRX. Bank of America will serve as the cash custodian, while U.S. Bancorp Fund Services will provide administrative, accounting and transfer agency services.
Thedocument also states that CoinDesk Indices will provide the CoinDesk Tron benchmark interest rate used to calculate the fund's net asset value. Investors may still buy and sell shares at a premium or discount above or below the underlying TRX reported value.
The SEC filing is not an approval or listing confirmation
Canary originally filed the fund's S-1 form in April 2025. Subsequent amendments added details of the TRXS trading code, Cboe listing plan, service provider, pledge terms and final fee.
However, the S-1 amendment does not mean that the SEC has approved the investment. The prospectus clearly states that neither the SEC nor any state securities regulator approved or rejected the securities, nor did it determine whether the prospectus was accurate. Therefore, Canary's "imminent" announcement reflects the manager's listing expectations. The company has not provided an exact date or confirmed that all remaining regulatory conditions have been met.
Thefiling also warns that the fund will not be registered under the Investment Company Act of 1940. Investors therefore lack some of the protections available through registered investment companies.
TRX price response to announcement limited
On September 4, TRX traded at approximately US$0.328, up approximately 0.6% intraday, with intraday fluctuations ranging from approximately US$0.326 to US$0.332. This mild volatility does not establish a direct link between ETF announcements and TRX prices. Broader crypto market conditions and network activity may also affect token prices.
Tron's expanding stablecoin business provides the context for the launch of this product. Tron reportedly processed quarterly USDT transfers worth $2.1 trillion in the second quarter of 2026. As of the end of the quarter, USDT supply online reached US$87.9 billion.
The future direction of TRX ETFs
The clearest milestone currently is the SEC's statement announcing that the registration statement will take effect. Canary may also submit another amendment that includes final listing information or updated commercial terms.
The final prospectus will usually confirm the transaction date and any remaining operating details. Until these steps are completed, TRXS should be described as a proposed or pre-market product rather than an operating ETF.
