The SEC's interpretation defines "digital commodities" in connection with functional encryption systems. According to the framework, the value of such assets comes from systematic programmatic operations and market supply and demand, rather than based on profit expectations for the other party's core management efforts.
This expression gives network functions an important place in analysis. If the network is still unfinished when the tokens are first distributed, its economic reality may change significantly once applications, infrastructure and broader participation mechanisms are put into operation.
The framework also takes into account that asset characteristics may evolve over time. For example, Memecoin may initially appear as a digital collectibles whose demand stems mainly from culture or social interaction, but if it is subsequently connected to a functional encryption system, it may be classified as a digital commodity.
This impact is not limited to memes. If the facts surrounding the network change significantly, legal and product teams may have reason to revisit early conclusions rather than assume that pre-release analysis can be applied indefinitely.
Product roadmaps now have regulatory consequences
Traditional development roadmaps tell users what a project is going to build. Under life-cycle-oriented regulatory analysis, the same commitment may also be a relevant factor in evaluating transactions involving tokens.
According to the SEC, the link does not have to be permanent. If the purchaser no longer reasonably relies on the issuer's representations or commitments regarding core management efforts, the circumstances surrounding subsequent transactions may be substantially different from those at the time of the original distribution.
This establishes an important distinction between the history of the token and its current economic environment. Early sales may involve significant reliance on the development team, while the same asset may subsequently be circulated in a fully functional system, with less reliance on the team for its use and market value. Conversely, simply describing assets as decentralized or functional does not alone establish that the underlying economic relationship has changed.
The practical challenge is to prove this evolution. Projects may need to consider what evidence the promised work has been done, how users interact with the network, and whether the original promoter remains at the heart of the asset's economic prospects.
Compliance may become an ongoing process
This framework suggests that cryptocurrency projects may need to view legal review as an ongoing process rather than a single pre-release exercise.
Teams may need to reassess their stance after major developments, such as deployment of core functions, changes to governance structures, major token integrations, changes to distribution mechanisms, or shifts in the original developer role, rather than treating it as relatively static after obtaining classification analysis before release.
