Winklevoss submits a Ripple Spot ETF application with the U.S. Securities and Exchange Commission
Winklevoss Capital has formally filed a registration statement with the U.S. Securities and Exchange Commission (SEC) to list a Zcash spot exchange-traded fund (ETF) on Nasdaq. The S-1 form was filed on October 6, 2026, and the fund name is the "Winkleworth Ripple ETF". If approved, the fund will be traded on Nasdaq under the symbol $WINK.
The structural design of this product is concise and clear. As a spot product, the fund will directly hold $ZEC, the native token of the Ripple network, rather than futures contracts or derivatives. The fund's net asset value (NAV) will be determined based on a volume-weighted average price formula for execution order flows on top digital asset exchanges. Custody services are provided by Gemini Trust Company, LLC, a cryptocurrency company owned by the twins.
Directly competes with Grace's early lead
The application puts Winkleworth directly in competition with @Grayscale, which already has a significant first-mover advantage in the field. Grayscale's Ripple ETF (code $ZCSH) began trading on NYSE Arca on August 25, 2026, becoming the world's first exchange-traded product to provide $ZEC spot exposure. Within about two weeks of its launch, the fund's asset management size (AUM) exceeded $500 million.
Grayscale charges a 2.5% management fee for $ZCSH, while Winkleworth's application documents have not yet specified a specific competitive rate. This rate difference will be a focus of attention when the SEC reviews applications, as rate competition has historically been a key battleground in the ETF market.
The broader regulatory background has also tilted towards privacy coin products. In January 2026, the SEC failed to take enforcement action after reviewing matters involving Zcash, eliminating significant regulatory uncertainties and paving the way for the launch of regulated products such as $ZCSH. If Winkleworth's application is approved, Wall Street will have two competing $ZEC spot products on major U.S. exchanges, providing institutional investors with options for regulated exposure to this privacy-conscious digital asset, covering both trading venues and fund structure dimensions.
