  • Joby Aviation (JOBY) shares rose 1.98%, as the market refocused due to the resale documents of 2.42 million shares.
  • Joby will not receive any gain from Strata Critical's possible share resale.
  • The registered shares account for approximately 0.24% of Joby's total issued ordinary shares.
  • Joby's autonomous J208 aircraft begins a month-long coast-to-coast aviation journey across 10 states.
  • Resale documents and J208 activity have brought Joby's broader expansion strategy into focus.

Joby Aviation (JOBY) shares rose to $6.43, or 1.98%, after hitting an intraday low of about $6.25 in Friday trading. The trend follows Strata Critical's filing covering as many as 2.42 million shares for possible resale. The document adds to the market's focus on Joby's acquisition activities and broader expansion in advanced air traffic and aviation services.

Joby Aviation filed a 2.42 million share resale prospectus

Joby Aviation filed a prospectus supplement covering the 2,419,801 common shares currently held by Strata Critical Inc. The company issued the shares in accordance with specific EBITDA milestones in the transaction agreement after acquiring the Blade Air Mobility business. According to the registered offering rules, Joby will not receive any proceeds after the selling shareholders complete any future transfer sales.

These shares represent approximately 0.24% of Joby's approximately 996.3 million common shares currently outstanding on the open market. Strata Critical may sell these shares over a period of time through public transactions, private transactions, brokers, dealers or other agents. These sales may be made at prevailing market prices, relevant prices, or privately negotiated values, depending on market conditions.

Joby registered these shares in accordance with the existing Form S-3 registration statement filed with the regulator on October 24, 2024. The company also submitted a legal opinion from Latham & Watkins proving the validity of the shares issued. Joby will bear the registration fee, while the selling shareholders will bear the sales commissions and other related transaction costs.

Autonomous J208 roving flights add operational power

In addition, Joby launched a month-long coast-to-coast roving flight of its autonomous J208 aircraft this month, spanning 10 states. The aircraft appeared in Fort Worth during the launch of the White House-backed eVTOL (Electric Vertical Take-off and Landing Vehicle) and Advanced Air Traffic Pilot Program. The plan supports broader testing and deployment of electric aircraft and advanced air traffic technologies nationwide.

J208 roving flight activity Joby provides another platform to showcase its autonomous aviation work beyond its core passenger eVTOL development project. Joby continues to increase its visibility around aircraft technology, commercial operations, government partnerships and regulatory engagement across the United States. The company has also expanded its business reach through strategic acquisitions related to the air services and passenger transportation markets.

Joby's acquisition of the Blade Air Mobility business is part of a broader push to enter commercial air transport services. The resale documents reflect mileway-based considerations directly linked to financial performance after the acquisition closed. At the same time, JOBY shares remained high as the market evaluated the document and continued operational and technical development progress.
