OpenWorld completes its business merger with VerifyMe and moves to real-world asset tokenization
According to a company announcement, OpenWorld, Inc. Completed on October 1 with VerifyMe, Inc. business combination. After the merger, the listed company changed its name to OpenWorld, Inc., Under the leadership of digital asset veteran Matthew Shaw, the business focus has shifted to tokenization (RWA) of real-world assets. The transaction allows a listed company to officially enter the area of tokenization of cash flow from physical assets and operating operations, a market segment that is increasingly attracting attention from institutional investors.
Details of the merger structure
The combined company's common shares began trading on Nasdaq from the open on October 1, with the ticker symbol OPNW, replacing VerifyMe's previous VRME symbol. Matthew Shaw has co-founded a number of technology and cryptocurrency companies and served as a director of multiple token projects. He is currently the company's chairman and CEO. Russ McMeekin, a former Honeywell International executive, has joined as group president.
VerifyMe previously mainly provided logistics support and brand protection services for temperature-sensitive products, and this business will continue to be operated by the combined company under the name OpenWorld. Adam Stedham, former CEO of VerifyMe, said the merger is the best way to create shareholder value, and he believes that OpenWorld's tokenization capabilities provide opportunities that are far greater than what VerifyMe can achieve independently.
Tokenization Strategy
OpenWorld is building infrastructure to link real-world assets and transform the cash flow and physical assets of operating operations into investable financial products. "Tokening cash flow of one of the world's most dynamic companies is expected to fundamentally change the way companies operate, how they finance and how investors earn income," Shaw said.
Through its OpenWorld Enterprise division, the company combines financial structured design with blockchain infrastructure to develop, issue and distribute tokenized real-world assets to institutional investors. In addition, the company also plans to pursue a dual listing on Figure OPEN, a blockchain-based trading platform expected to be officially launched in November 2026.
Push tokenization into the open market
The listing is part of a broader effort to bring tokenization of real-world assets to the open market, a trend that is accelerating as banks and fund managers seek tokenization exposure to operating assets. Parallel to this trend is institutional-level efforts to combine custody services with tokenization.
OpenWorld, founded in 2023, claims to have provided consulting on projects with a total network value of more than US$66 billion, and has supported more than 20 companies invested and supported by well-known institutions including a16z, Multicoin Capital, Dragonfly and Founders Fund. It should be noted that the dual listing in Figure OPEN and any tokenization of its equity are forward-looking plans and face regulatory and enforcement risks.
