Oura, a health technology company responsible for developing Oura Ring wearable devices, filed an S-1 registration statement with the U.S. Securities and Exchange Commission (SEC) on Thursday, marking its close to a public offering on the Nasdaq Stock Exchange under the stock symbol "OURA".

Goldman Sachs, Morgan Stanley and JPMorgan Chase served as the lead underwriters for the offering.

Regulatory disclosures highlight the company's impressive financial momentum. For the 12-month period ending June 2026, the company's total sales reached US$1.4 billion and a net profit margin of US$59 million.

During the nine-month window period ending June 2026, sales reached US$1.21 billion, a 74% increase from the same period last year.

Total gross profit for the nine months was US$662 million, reflecting a 55% profit margin.

Caution behind strong sales numbers

Although financial indicators look solid, Oura remains transparent about its operating history. Management admitted that the company had experienced "long-term operating losses" and had only "recently achieved profits."

During the nine-month period ending June 2026, Oura recorded a loss of $924 million on sales of $1.21 billion. In the same period a year ago, the company reported a loss of $182.8 million on revenue of $697.6 million.

Revenue Sources and Subscriber Base

The company adopts a dual revenue model: direct sales of Oura Ring hardware and recurring subscription revenue generated through the Oura Membership program.

As of June 2026, the platform has 5 million paid subscribers. About 72% of the membership group is made up of female users.

In the twelve months ending June 2026, Oura distributed 3.6 million ring units. On average, users wear the device for about 23 hours a day.

The company maintains distribution channels in 56 countries through approximately 8,400 physical retail stores, including partnerships with Amazon, Best Buy, Target, Costco and Walmart. International markets outside the United States account for less than 20% of hardware sales.

The executive team includes CEO Thomas Hale, who was previously President of Momentive, and Chief Financial Officer Sean Brecker, who was previously CEO of Headspace.

Funds raised through the public offering will be used for technology innovation, operating expenses, and general corporate initiatives.
