BTC Warren Whitley, co-founder and CEO of African Bitcoin Company, resigned after being fined for a "$18.53 transaction"
The South African Financial Sector Conduct Authority (FSCA) fined Warren Whitley US$307,750 and banned him from working in the financial services industry for 20 years. In response, Warren Whitley, co-founder and CEO of Africa Bitcoin Corporation, has announced his resignation. The penalty stems from three transactions involving 50 shares he executed in September 2022, with a total value of only $18.53.
The case raises sharp questions about how Africa regulates its cryptocurrencies and listed companies? Is this punishment proportionate to the crime?
The FSCA also banned Whitley's wife, Tatum Keshwa-Whitley, and Akshai Karan, the company's chief investment officer, from entering the financial industry and fined them US$123,100 and US$184,650 respectively. The regulators 'attitude is clear:
"Through their coordinated actions, they artificially pushed up stock prices and created false impressions of Altvest's stock demand, supply or trading activity." FSCA said.
At the time of the alleged breach, the company was listed on the Cape Town Stock Exchange under the name "Altvest Capital". Since then, its main listing status has shifted to JSE AltX and changed its name to Africa Bitcoin Corporation, building a Bitcoin treasury strategy at the core of its investment model.

The challenge facing African regulators is "calibration." The cryptocurrency market is changing rapidly, attracting many retail investors who are often first-time participants in the market, and operating across jurisdictions in ways that traditional listed companies do not.
Creating a regulatory framework that does not hinder legitimate innovation through disproportionate sanctions while protecting investors is a balance that has not yet been fully grasped by African regulators. Whitley has confirmed that he will apply to the Financial Services Tribunal to reconsider the FSCA's decision and suspend sanctions during the review.
As the company searches for a permanent replacement, the board of directors appoints Stafford Massey as interim CEO. Africa Bitcoin was established in April 2021, and Whitley described it as the result of hard work during the epidemic and countless hours of personal investment. Today, the co-founder is no longer chairman, and the company has entered a new chapter.
"Our team believed in the company's mission long before it was successfully identified. It is the same commitment that makes the best interests of the company come before my personal interests." he said.
The Financial Services Tribunal will now decide whether the sanctions imposed on the CEO of South Africa's most prominent Bitcoin company were appropriate or whether a test transaction worth $18.53 carried a weight that it should not have borne. In any case, the case has done one thing that African cryptocurrency markets need: It has forced a conversation about what fair regulation really looks like on the continent.
