Strive director Pierre Rochard bought 15,900 ASST shares, totaling approximately US$199,400.

The price of the Bitcoin reserve company's preferred stock has reached its US$100 face value.

Summary

· Rochard purchased 15,900 ASST shares on August 14 at an average price of US$12.54.
·This open market purchase is the first reported direct position in Strive common stock.
· ASST shares rose on Wednesday after closing down 3.03% at $12.80 on Tuesday.
· Strive recently purchased 79 bitcoins for US$5 million, increasing its total holdings to 20,246 bitcoins.

Rochard first reported ASST buying behavior

An SEC Form 4 filing filed on August 18 showed that Rochard purchased Class A common stock through open market trading on August 14. At $12.54 per share, the total value of the transaction is $199,386. After the transaction closed, Rochard directly held 15,900 shares of ASST stock. The document does not list derivative securities or additional indirect shareholdings associated with the director.

According to the disclosure, Rochard did not execute the purchase in accordance with the Rule 10b5 -1 trading plan. Such plans allow company insiders to arrange future transactions in accordance with predetermined instructions, helping to separate transaction behavior from the information they may obtain through their positions. Because the purchase occurred outside the plan, Rochard made a direct open market acquisition at the reported price. The document did not explain why he purchased the shares or whether he planned to increase more shares.

Rochard serves on Strive's board of directors and also serves as CEO of The Bitcoin Bond Company. As a long-time supporter of Bitcoin, he recently stated that despite the bearish market sentiment, the monetary rules and governance mechanism of the cryptocurrency remain solid. In another public comment, Rochard criticized Bitcoin Improvement Proposal 110 (BIP-110), which is known as "reducing temporary soft forks of data." The proposal was opposed by several Bitcoin supporters, including Strategy Executive Chairman Michael Saylor. "BIP-110 is a demonic psychological war that blows morale. I wish all affected people a speedy recovery. "Rochard said.

ASDT shares recover after Tuesday's decline

ASST opened higher than Tuesday's close in Wednesday's trading session after falling 3.03% to $12.80 in the previous session. The stock opened at $12.94 and hit an intraday high of $13.75, according to Investing.com market data. This trend continues Strive's stock price's rebound from low levels, but common stocks are still exposed to fluctuations in bitcoin prices and changes in corporate financing activities. ASST investors hold stakes in the U.S. -listed company, whose balance sheet contains 20,246 bitcoins, cash reserves and preferred securities issued by Strategy.

Rochard's purchase represents a financial commitment by the company's directors, but the SEC filing does not describe the transaction as a signal for Strive's expected results. Insider buying may attract investors 'attention, but it does not guarantee that the company's share price or operating results will improve.

Institutional investors are also building ASST positions. In May, Crypto News reported that State Street had increased its Strive exposure by 770%, after purchasing nearly 1 million shares worth approximately $17.7 million at the time.

Under Section 16(a) of the Securities Exchange Act, U.S. securities filings provide Rochard's trading information directly to U.S. investors. Directors, senior management and shareholders holding more than 10% of their shares must usually disclose changes in their shareholding through Form 4 documents.

ASST is traded on Nasdaq, allowing investors to gain exposure to Strive's business and Bitcoin reserves without having to directly hold BTC. However, common shareholders have lower priority than preferred shareholders in Strive's capital structure and still face possible dilution risks as the company issues more shares to finance its strategy.

SATA approaches face value or restarts Bitcoin financing channels

Strive's SATA preferred stock is trading at nearly $100 this week, after trading below face value for most of the past two months. The security hit $99.79 on Tuesday, setting a two-month high, before remaining near the $100 reference price in Wednesday trading.

SATA is Strive's floating rate Series A perpetual preferred stock. Unlike ASST common shares, the instrument gives holders priority to declare dividends, but has no fixed maturity date. Strive will pay SATA dividends every business day starting June 16. According to previous reports in May, the company set an annualized dividend yield of 13%, when the actual annualized rate of return calculated at daily compound interest was approximately 13.88%.

Pricing near par value is important because Strive can sell preferred shares more effectively when the market value is close to or above the $100 reference amount of the security. If SATA issues significantly below par value, the company will need to sell more shares to raise the same capital, increasing the dividend obligation for each dollar raised.

Strive had previously planned to increase its market-to-market offering plans for ASST and SATA by $2.1 billion each. The proposed financing expansion will provide up to US$4.2 billion in additional financing capacity, depending on market demand and the company's ability to issue securities on acceptable terms.

Strive's structure uses a combination of preferred stock and common stock sales to fund Bitcoin purchases. SATA holders receive preferred dividends, while ASST shareholders retain exposure to remaining changes in the value of Strive's assets after taking into account preferred claims.

Strive currently holds 20,246 bitcoins.

Strive disclosed in a Form 8-K filing on August 17 that it purchased 79 BTC units for approximately US$5 million between August 10 and 14, paying an average of US$63,231 per unit (including fees and expenses). The transaction increased its Bitcoin position from 20,167 to 20,246. Strive also reported holding $154.8 million in cash and cash equivalents as of August 14, a decrease of $100,000 from a week earlier.

In addition to directly holding Bitcoin, Strive also holds 505,000 shares of Strategy's STRC preferred shares, valued at approximately US$47.86 million. There was no change in STRC's shareholding during the reporting period, but its fair value decreased by US$116,000.

Strive's latest purchase of 79 BTC units is smaller than its previous acquisition. An SEC filing in June showed that the company increased its holdings of 2,500 BTC units for $185.2 million, when its reserves increased to 19,000 units. CEO Matt Cole said Bitcoin looked cheap in the current price range and suggested Strive was ready to accept more risk to expand its position. "Bitcoin is at historically low levels in this price range, and we are positive about taking risks to increase our holdings of BTC here. "Cole said.

Bitcoin traded at around US$64,400 on Wednesday, having fluctuated in the range of around US$64,000 to US$65,000 in the previous 24 hours. Yahoo Financial data showed that BTC closed at US$64,680.71 on August 18, hitting an intraday high of US$64,987.71.

Strive also listed 76.75 million Class A shares and 9.79 million Class B shares in issue as of August 14 in its August 17 filing. The company reported that it had issued 7.83 million SATA shares, unchanged from last week.
