Hyperliquid Strategies increased Chardan's equity financing line from US$1 billion to US$2.5 billion, but did not commit to selling shares
As of June 30, Hyperliquid Strategies held 29.3 million HYPEs worth approximately US$1.9 billion, after spending $773.4 million on purchases.
On September 1, PURR closed at US$11.36, below the US$12.02 threshold that constrains the issuance of additional shares under the financing facility.
Hyperliquid Strategies has expanded its equity financing with Chardan Capital Markets from $1 billion to $2.5 billion. The Nasdaq-listed company signed an amendment on September 1 allowing it to sell newly issued common stock to Chardan if needed. The proceeds can be used for corporate purposes, including the possible purchase of Hyperliquid's native token HYPE.
Chardan Agreement increases available equity financing limits
The revised ChEF Purchase Agreement increases total purchase commitments to US$2.5 billion. However, the financing mechanism does not require Hyperliquid Strategies to sell shares or guarantee this amount. The company can decide at its discretion whether to issue shares in accordance with the agreement.
The arrangement is still available at any time, providing flexibility for the company to sell shares in the future. After the initial sale of US$1 billion in shares, if the additional shares are priced below US$12.02, they will be subject to NASDAQ limits. Such issues should normally not exceed 42,641,847 shares.
This figure is equivalent to 19.99% of the company's total issued shares before this revision. However, where required by Nasdaq rules, companies can exceed this limit through shareholder approval.
HYPE's positions provide background for quota expansion
Previously filed documents show that Hyperliquid Strategies has raised large amounts of capital through share issuance. During the fiscal year ended June 30, 2026, the company raised $647 million through the sale of PURR shares.
The company issued 76.1 million PURR shares at an average net price of US$8.50. At the same time, its HYPE inventory increased from 12.5 million to 29.3 million. As of June 30, the company's total assets were US$2.06 billion.
Based on a valuation of US$65.04 per token, HYPE accounted for approximately US$1.9 billion of this. The company also reported that it had invested $773.4 million to acquire approximately 16.5 million HYPEs, with an average cost of $46.77 each for these purchases.
PURR price sets another condition
According to relevant data, the PURR closing price on September 1 was US$11.36. The stock fell about 7.3% on the day after closing at $12.25 on Aug. 31. Notably, the closing price of $11.36 was below the $12.02 threshold set by the financing facility.
This threshold limits the sale of certain low-priced shares after the first $1 billion. In addition, Hyperliquid Strategies also has a $30 million share repurchase authorization. As of mid-August, the company had spent approximately $27.8 million to repurchase approximately 5.8 million shares.
