SEC enforcement action against ISS subpoena compliance issues

Institutional Shareholder Services (ISS) is facing enforcement action from the U.S. Securities and Exchange Commission (SEC) for refusing to fully cooperate with regulators 'document retrieval requests. The lawsuit aims to use a court injunction to force ISS to fulfill its administrative summons obligations it received in July this year.

The SEC filed a lawsuit in the U.S. District Court for the Eastern District of Pennsylvania on September 4, 2026. Regulators said the ISS's failure to provide relevant records seriously hindered its investigation and supervision under federal securities laws. The case refocuses regulatory attention on the operational compliance of the proxy voting consulting firm.

Proxy recommendations draw broader regulatory attention

In addition to specific compliance disputes, ISS's huge influence in influencing corporate shareholder voting also puts it at the forefront of the spotlight. According to analyst Eric Balchunas, ISS controls about half of the global proxy voting outsourcing market. He also pointed out that there have been recent criticisms in the industry about the company's position on environmental, social and governance (ESG) issues.
