Background of Circle M & A Activity

Circle Internet Group announced on September 8 that it has reached a final agreement to acquire Singapore-based cross-border payment platform Tazapay in a US$400 million all-stock transaction. Affected by the news, CRCL shares fell 5.8% on Tuesday to close at $96.18. Intraday trading showed the stock fluctuated between $95.20 and $101.14. As of Wednesday, the stock price was at about $99.30, a daily decline of 2.7%, but still rose more than 25% during the year.

The acquisition agreement was signed on September 4 through Taurus Acquisition, a wholly-owned subsidiary of Circle. Circle has filed a Form 8-K document with the Securities and Exchange Commission outlining the transaction structure.

The entire $400 million purchase price will be settled through Circle Class A common stock. The number of shares will be calculated using the volume-weighted average closing price of Circle for the 20 trading days before the transaction is completed. The purchase price includes adjustment terms based on Tazapay's outstanding debt obligations, transaction fees and cash on hand. Circle will retain 5% of its shares for compensation purposes and an additional 3% to supplement its claims. The initial detention portion will be gradually released over 18 months, while the secondary detention portion can be extended to up to four years.

After the transaction closes, Circle plans to issue US$25 million in restricted stock units (RSUs) to designated Tazapay personnel. These equity awards will be vested through eight quarterly distributions, starting approximately 27 months after settlement.


Tazapay's strategic value to Circle

Tazapay serves as a connector between payment providers and financial institutions, connecting more than 60 banking and financial infrastructure partners. Its platform provides payment capabilities covering more than 100 international markets, which constitutes a key "last-mile" payment infrastructure in Circle's strategic vision.

Based on current indicators, the platform handles total annualized payments of more than US$25 billion. This represents a significant increase compared to the US$10 billion figure disclosed in the August 2025 financing announcement. These volume data are estimates provided by the company and have not been verified by an independent audit. Financial performance indicators, including revenue and profitability, are not disclosed.

According to Circle, approximately 60% of Tazapay's overall transaction volume currently includes stablecoin payments. Tazapay holds a license or regulatory registration in Singapore, Canada, Australia and the United States and is seeking authorizations from the European Union, Hong Kong and the United Arab Emirates.

Tazapay has been a design partner of Circle Payments Network since 2025. Circle is now transitioning from a cooperative business relationship to a full acquisition.


Background of Circle's M & A activity

This transaction is Circle's largest acquisition since it acquired cryptocurrency exchange Poloniex in 2018. The company acquired Hashnote for approximately $100 million in 2025, acquired Coinbase's 50% stake in Centre Consortium for $209.9 million in stock in 2023, and acquired web3 infrastructure provider Cybavo in 2022.

Prior to the announcement of the acquisition, Circle Ventures had established an investment position in Tazapay. Tazapay's investor list also includes Ripple, Peak XV Partners and GMO Venture Partners.

The transaction is expected to complete in 2027, subject to approval from the Monetary Authority of Singapore and standard regulatory licensing. If delivery is not completed within nine months, both parties have the right to terminate the agreement and extend it to 15 months.

Tazapay's customers have been notified that service, pricing structure and customer support will continue to be continuous while awaiting transactions.
