Consensus Sys announces spin-off: MetaMask becomes an independent consumer business and infrastructure is included in the new Consensus sys

On September 9, Consensus Software Inc. Announced the split of its business into two independent companies. The reorganization transformed the MetaMask consumer platform into an independent commercial entity, while protocols and enterprise-level infrastructure operations were placed under the newly formed Consensus sys entity. The two companies will start operating independently from now on, and it is expected that the formal separation at the legal level will be completed before the end of 2026.

MetaMask transforms into a consumer-focused exclusive enterprise

In an official announcement, Ethereum co-founder Joseph Lubin said that the existing company will be renamed "MetaMask". Lubin will serve as chairman and CEO of the company and will also serve as executive chairman of the new Consensus sys.

The rebranded MetaMask business will focus on wallets and its consumer products. Consensus emphasized that applications, user assets, private keys and access rights will remain unchanged and customers do not need to take any action as a result of this corporate reorganization.

In addition, the company pointed out that the SDK, APIs and tool chains for developers will continue to operate in the original mode. Recently, MetaMask has expanded its product line through integration, including redemption, bridging and decentralized applications (DApps) that support Robinhood Chain. Linea and Ethereum infrastructure retained in Consensus sys

The newly formed Consensus will retain the Linea project, as well as agreements and enterprise infrastructure businesses, including Besu and Teku. The announcement stated that the company will continue to support the Ethereum ecosystem and is committed to exploring B2B (business-to-business) and B2B2C (business-to-consumer) business opportunities.

Mike Kriak will serve as CEO of the new Consensus sys and David Cunningham will serve as president. Although the two companies will operate independently, Consensus is expected to remain an important channel partner for MetaMask. The announcement did not disclose specific financial terms, ownership allocations or the number of employees in each company.

The spin-off aims to distinguish between two different types of customer markets

Lubin described the reorganization as a strategy aimed at giving consumer businesses and enterprise-level operations a clearer focus. MetaMask is primarily aimed at self-hosting users and developers, while Consensus will focus on the Ethereum protocol and infrastructure used by institutions and enterprises.

According to data provided by Consensus, MetaMask has been downloaded more than 100 million times in about 190 countries around the world, and the total transaction volume has reached trillions of dollars.
