XRP Evernorth 通过可转换债券融资 3000 万美元，加码 XRP 持仓
总部位于旧金山的加密货币相关企业 Evernorth 正在筹备扩大其加密货币持仓，并通过可转换债券交易筹集 3000 万美元资金。该公司周五向美国证券交易委员会（SEC）提交的文件显示，Evernorth 于 9 月 11 日签署了一份认购协议，计划发行总额为 3000 万美元的可转换债券。
值得注意的是，Evernorth 表示，所筹资金将主要用于购买更多 XRP，并支持与其生态系统相关的业务发展。根据文件披露，韩国金融机构 NH 投资证券（NH Investment & Securities）和教保 AIM 资产管理公司（Kyobo AIM Asset Management）参与了此次交易。由教保 AIM 管理的一个基金将购买这些可转换债券，而 NH 投资证券将担任托管方。
作为 Evernorth 合并上市以登陆纳斯达克的特殊目的收购公司（SPAC），Armada Acquisition Corp. II 的股东将于 9 月 30 日对该交易进行投票表决。若获批准，合并后的公司预计将以“XRPN”为股票代码在纳斯达克挂牌上市。
XRP 企业金库建设浪潮兴起
此举使 Evernorth 成为越来越多围绕 XRP 构建企业金库的公司之一。早在 2025 年 8 月，纳斯达克上市公司 VivoPower International 宣布了一项价值 1 亿美元的 XRP 金库计划；而 Trident Digital Tech Holdings 也规划了高达 5 亿美元的金库储备。
与此同时，随着 Ripple 可能登陆纳斯达克的消息引发关注，Evernorth 完成了本轮融资。目前，Ripple 仍是一家私人控股公司，尚未提交首次公开募股（IPO）所需的 S-1 注册声明。然而，Ripple CEO Brad Garlinghouse 在今年 8 月对 IPO 的态度似乎更加开放。他形容公司对保持私有状态的立场已趋于中立，这与过去几年坚持舒适地保持私有状态的说法有所不同。当时，Ripple 还在推进一项价值约 7.5 亿美元的股份回购计划，据此估值约为 500 亿美元。
监管环境波动与行业前景
此外，最新一轮融资发生在美国参议院未能于 9 月 15 日推进《CLARITY Act》（加密资产清晰度法案）之后。该程序性投票未达到推动立法所需的 60 票门槛。该法案旨在为数字资产建立更清晰的监管框架，包括明确哪些加密货币应被视为证券或商品。
Garlinghouse said the setback would not change Ripple's business model or XRP's legal status, pointing to the litigation history between the company and the SEC. "This time is really sad. Our team went all out to try to get CLARITY Act across the finish line." Garlinghouse wrote.
He pointed out that despite the vote's failure, Ripple's business remains strong and is in strong demand from traditional financial institutions and the broader digital asset industry.
Still, the continued growth of enterprise-level XRP vaults may deepen institutional investors 'exposure to the asset and strengthen the broader XRP ecosystem. On the other hand, if the CLARITY Act is passed, it will also bring more regulatory clarity, potentially strengthening Ripple's case for seeking an IPO.
