Parataxis Ethereum 表示,继续该交易可能导致其面临大规模的股东评估权索赔,进而引发资金流出,对其流动性和财务状况施加压力。董事会是在审查特别合并委员会的工作成果以及外部法律顾问的意见后作出这一决定的。

Previously, the two companies agreed on April 7 to merge through absorption, in which Parataxis Ethereum will serve as the surviving company and Parataxis Korea will disappear as a separate legal entity. The statement said the move aims to simplify the group structure, integrate related businesses and improve financial stability.

According to the revised terms announced in July, shareholders should vote on November 27. The merger itself is scheduled to complete on January 1, 2027, and the newly issued shares are expected to begin trading on January 27. Based on the conversion ratio of 1 Parataxis Ethereum share to 0.2806763 Parataxis Korea shares, Parataxis Ethereum will issue 29.77 million ordinary shares and 195 preferred shares.

Previously, the two companies had postponed earlier schedules. Initial filings pointed to October 1 as the merger date, but the timetable was forced to be adjusted as Parataxis Korea faced a separate listing review and subsequently received a delisting decision from the Korea Stock Exchange.

Parataxis Ethereum stated that trading uncertainty has reached the point where it cannot reasonably predict when its securities registration statement will be filed or effective. The company pointed out that repeatedly changing the timetable could cause more confusion for shareholders and plunge management into uncertain processes.

Parataxis Korea's delisting dispute changes trading landscape

The main complexity stems from Parataxis Korea's listing status on the Korean KOSDAQ market. After reviewing the case, the Market Committee of the Korea Exchange decided to delist Parataxis Korea on August 19. Parataxis Korea filed an injunction request with the Southern District Court of Seoul the next day, requesting a suspension of delisting and stop clearing transactions until the dispute was resolved.

Subsequently, trading was suspended from August 21, pending confirmation of the court's decision. The injunction was still listed as an outstanding factor in the October 6 merger withdrawal filing, indicating that court proceedings were still part of the uncertainty cited by the boards of both parties when they abandoned the deal.

Early merger filings have warned that Parataxis Korea's delisting could force parties to recalculate share ratios or change the structure of the transaction. If Parataxis Korea becomes a non-listed company before completion, its valuation rules will be different from if both parties are KOSDAQ listed companies.

Risks are not limited to time. According to the merger agreement, the exercise of shareholders 'evaluation rights may trigger large cash obligations. An April filing stated that the merger may be terminated if the combined assessment claims multiplied by the purchase price exceed 20 billion won.

Parataxis Ethereum cited the possibility of large-scale exercise of these rights as one of the reasons for stopping the transaction in its October 6 disclosure. Its board of directors said the resulting capital outflows would place a significant burden on liquidity and the company's financial structure.

Cancelled merger does not end Parataxis Ethereum's ETH strategy

In early 2026, Parataxis Ethereum was established as an independent Ethereum treasury company when its predecessor "Ssiway" was renamed due to investment by Parataxis-related entities. Parataxis Holdings disclosed in December 2025 that related parties agreed to invest up to 35 billion won in Siniway. The company adopted the Parataxis Ethereum name and a treasury strategy focused on Ethereum after the transaction was completed. Subsequent SEC filing described it as South Korea's first publicly traded ethereum-focused treasury tool.

It was previously reported that Parataxis used a similar model to operate Bridge Biotherapeutics, which later became Parataxis Korea and adopted the Bitcoin treasury strategy. Parataxis Ethereum reported holding 8,691 ETH units in March, when it purchased another 2,577 ETH units for 8 billion won. Public treasury trackers currently show the company holds 10,449 ETH, making it one of the holders of Ethereum in larger publicly traded companies tracked globally.

The October 6 merger filing did not announce any changes to the Ethereum treasury strategy, but was limited to the conclusion of the acquisition of Parataxis Korea and the cancellation of related shareholder procedures. As of late trading on October 6, Parataxis Ethereum shares were reported at approximately 1,304 won, up 1.72% from the previous trading day.

Subsequent developments depend on the outcome of delisting cases

Parataxis Korea said all mergery-related procedures, including the November 27 shareholders 'meeting and shareholders' record date process, have now been cancelled. The company said it will continue to consider ways to enhance shareholder value based on the outcome of its injunction litigation against the delisting decision and other future conditions.

As a result, court disputes remain the main pending corporate matter in Parataxis Korea. Trading in its shares has been suspended pending an injunction decision, and the Korea Stock Exchange's delisting process has also been suspended after a court challenge was filed.

In addition, Parataxis Holdings is merging its business with US-based SPAC company SilverBox Corp IV. SilverBox disclosed in August that the transaction deadline had been extended to December 31, 2026, and shareholders had individually approved giving SPAC more time to complete the business combination.

An earlier SEC registration statement specifically warned that the proposed Parataxis Ethereum-Parataxis Korea merger may not be completed on time or at all, and listed a potential KOSDAQ delisting as a risk to the group's South Korea digital asset strategy. Previous reports pointed out that the SilverBox deal aims to bring Parataxis Holdings public and link its U.S. operations to its South Korean digital asset investments.
