Why did Metaplanet shrink its executive warrant pool?

Bitcoin treasury company Metaplane has sharply cut back its controversial plan amid concerns that the structure of its managed equity incentive plan could over-dilute and lead to disproportionate gains for executives. The company reduced the number of potentially available shares in its "Series 10 Stock Options" plan by 41%, from approximately 319.5 million shares to 188.2 million shares, according to company documents released Friday. The move is a continuation of adjustment measures earlier in August this year and a partial reversal of the compensation structure Metaplanet put in place before adopting the Bitcoin treasury strategy in 2024.

Unlike traditional executive options that grant a fixed number of shares, the "Series 10" plan is tied to Metaplanet's fully diluted share capital. As the company issues additional shares to buy Bitcoin, the number of shares potentially available to management also increases. As Metaplanet's equity issuance accelerates, this mechanism has sparked increasing controversy. Shareholders believe that financing activities aimed at increasing Bitcoin holdings are also expanding potential equity rewards for management. "We never intended to incentivize non-value-added or slightly value-added dilution," said CEO Simon Gerovich. He noted that the latest cuts eliminated more than $220 million in warrant value generated by the previous float mechanism.

How much dilution effect does Metaplanet eliminate?

Metaplanet is lowering its "Series 10" conversion ratio from 696 shares per option right to 410 shares, bringing the ratio back to the level it was before the company's subsequent international equity financings. The company said the revised structure will increase its diluted Bitcoin holdings per share by approximately 8.8%. For shareholders, this is an important indicator to assess whether equity issuance increases their economic exposure to Bitcoin or simply expands the total number of shares.

The company previously stated that early capital raises generated more bitcoin value per share, while subsequent offerings were less efficient in increasing diluted bitcoin holdings per share. Gerovich acknowledged that these subsequent transactions created disproportionate value for "Series 10" holders relative to existing shareholders. This reduction does not revoke the rewards that have been exercised. Gerovich exercised 64 million shares on August 28 under previous terms, and these shares will not be recovered. Under the revised structure, he still reserves the right to acquire an additional 49.128 million shares.

Investor revelation

Metaplanet's changes reduce future dilutions, but do not withdraw shares issued under the earlier structure. The bigger question for investors is whether future capital raising will allow diluted bitcoin exposure per share to grow faster than management and shareholder equity claims expand.

What has changed in executive compensation?

The company also postponed the exercise schedule of the remaining "Series 10" options. One-third will become viable in 2029, 2030 and 2031 respectively, while shares acquired through the plan will still be restricted until August 2031. Metaplane also dropped plans that previously announced transfer of some of its "Series 10" rights to employee motivation tools. Those rights will be revoked and the company plans to work with external consultants to develop a separate compensation plan.

These revisions address most dilution concerns, but some governance issues remain unresolved. The 64 million shares previously exercised by Gerovich are still valid. In addition, investors have also requested further disclosure of relevant shareholder interests and transactions involving MMXX Ventures. As part of its latest restructuring, the company has not provided additional clarifications on these issues.

Why is stock price important?

This governance dispute comes at a difficult time for Metaplanet shareholders. Earlier this week, its share price fell about 17% in two trading days after the company's initial response to criticism failed to calm investor sentiment. So far, Metaplane's share price has fallen more than 38% this year, compared with MicroStrategy's decline of about 13% and Bitcoin's decline of about 10%. This poor performance has intensified scrutiny of dilution issues because Metaplanet's Bitcoin accumulation model relies heavily on equity issuance.

This strategy is most effective when new shares can be sold at a valuation that allows the company to increase its Bitcoin holdings at a rate higher than the total diluted share number. If this relationship weakens, even if proceeds continue to be used to buy Bitcoin, further offerings will be less attractive to existing shareholders. Therefore, the 41% reduction is not only related to executive compensation, but also to restore market confidence, demonstrating that Metaplanet's capital strategy is consistent with shareholder interests, rather than automatically increasing management rewards every time a new equity issue is issued. The company has scaled back the scale of the problem, but the long-term test is whether its future financing can again achieve meaningful growth in diluted bitcoin per share without repeating the dilution concerns that triggered a strong rebound.
