Amazon explores US$8 billion Nvidia chip SPV plan

Amazon shares rose 1.55% on Tuesday as a financing structure plan involving approximately US$8 billion Nvidia chips surfaced. Amazon may lease Nvidia chips from a separately established financing vehicle.

The proposed special purpose vehicle (SPV) will support Amazon's vast AI and AWS spending plans. While Amazon continues to expand its cloud infrastructure, AWS revenue grew 36.7%. Amazon expects capacity limits to persist in 2026 and 2027.

Amazon shares rose in Tuesday trading as the company explored a financing structure involving approximately $8 billion in Nvidia chips. Amazon (AMZN) traded at $255.30 during the session, up $3.90, or 1.55%.

According to the Financial Times, the proposed structure would move expensive computing equipment into a separate special purpose vehicle.

Amazon explores US$8 billion Nvidia chip SPV

Amazon has reportedly discussed transferring approximately US$8 billion of Nvidia chips into a special purpose vehicle, commonly known as SPV. The carrier will raise external funding through debt and help fund Amazon's expanding computing infrastructure. Amazon will then lease the chips from the independently funded entity.

According to the report, in the past few weeks, the company has held discussions with potential funding partners. Amazon also plans to offer up to 10% equity in the proposed carrier. However, the company has not announced a final agreement or publicly confirmed the structure.

Amazon purchased or leased Nvidia chips to deploy in its growing network of data centers in the Americas. The devices will operate in more than a dozen data centers located in five states. Nevada and Virginia are among the states hosting new computing infrastructure.

Amazon expands AI and AWS infrastructure spending

The financing talks come as Amazon continues to spend heavily on artificial intelligence infrastructure and Amazon Cloud Services (AWS). Management expects cash capital expenditures to be approximately $220 billion this year. The majority of planned spending is for data centers, computing equipment, AI infrastructure and AWS expansion.

Quarterly capital expenditures reached $53.1 billion as Amazon continued to increase computing power for cloud customers. Management had expected annual cash capital expenditures of approximately $200 billion, and subsequently raised that estimate. Higher memory costs have led to an increase in expected spending this year.

Amazon CEO Andy Jassy has previously said infrastructure spending will put pressure on free cash flow in the short term. At the same time, the proposed SPV would place some chip ownership outside of Amazon's consolidated asset base. Neither Amazon nor Nvidia commented publicly on the reported financing discussions.

AWS growth supports Amazon's capacity expansion
