According to an SEC filing filed on September 17, Evernorth signed the note purchase agreement on September 11. The buyer was Kyobo AIM Corporate Finance General Private Investment Trust No. 3, which was represented by NH Investment & Securities Co. as trustee. The note carries a 4% interest paid (PIK) interest rate and matures in 2031.

This disclosure is slightly different from the statement previously reported by some media that "US$30 million in financing has been completed." Payment of documents and issuance of bills will occur simultaneously with the closure of Evernorth's business consolidation. Evernorth said it "expects the transaction to close in the fourth quarter of 2026," so the current financing is still in a conditional stage.

Funding Flexibility and XRP Strategy

Evernorth's filing with the SEC states that approximately US$30 million in proceeds (before deducting company transaction fees) could be used for general corporate purposes, including acquiring XRP and funding other activities related to the XRP ecosystem. This formulation gives Evernorth flexibility in allocating funds, meaning that it does not have to devote the entire $30 million to the purchase of tokens. Therefore, describing the agreement as a fixed $30 million XRP purchase contract exceeds the scope of the disclosure clause.

Evernorth's current corporate structure revolves around the XRP treasury strategy. Its latest registration documents indicate that the combined company is expected to hold at least 473,276,430 XRPs at the time of completion of the transaction, acquired through direct purchases and commitments from relevant parties in the transaction.

This position includes:

• In November 2025, Evernorth purchased 84,365,876.3625 XRPs at an average price of US$2.53657058 each, with a total cost of US$214 million.
• Ripple contributed an additional 126,791,458 XRPs based on the transaction agreement disclosed in the S-4 filing.

Evernorth's XRP treasury structure contains approximately 473 million tokens and more than US$1 billion in committed capital. Its investor lineup includes Ripple, SBI Group, Arrington Capital, Pantera Capital, Kraken and GSR.

NH Investment's Role and Notes Terms

The SEC filing confirms that NH Investment & Securities Co. serves as a trustee in the $30 million agreement, rather than a manager of the underlying private investment fund. The purchaser named in the agreement is NH Investment & Securities as trustee of Kyobo AIM Corporate Finance General Private Investment Trust No. 3.

These notes will serve as senior unsecured obligations of Evernorth, ranking equally with its other unsecured obligations that are not subordinated. Interest is accumulated at 4% per year from the effective date of the transaction and is paid in the form of paid interest (PIK), that is, the interest amount is included in the principal rather than paid regularly in cash. The note agreement stipulates that PIK interest will be compounded semi-annually before conversion, maturity, or before the investor exercises a put right. Unless the notes are converted, redeemed or repurchased early, the scheduled maturity date is the fifth anniversary of the effective date.

Prerequisites for Nasdaq Listing

Shareholders of Armada Acquisition Corp. II are scheduled to vote on the proposed business merger at a special meeting on September 30, 2026. The SEC declared Evernorth's Form S-4 valid on August 27, clearing the way for shareholders to review transactions with registration statements.

As previously reported, a shareholder vote on September 30 remains one of Evernorth's final conditions before completing its planned Nasdaq deal. Final completion of the transaction still depends on shareholder approval, other delivery conditions and Nasdaq's compliance requirements for the planned XRPN listing.

In August, Evernorth revised its transaction structure as the XRP price fell from $2.36 when the business merger was originally signed. The revised structure adjusts the number of shares issued at the close of the transaction based on XRP's volume-weighted average price. The company said investors representing more than 95% of committed capital accepted the revised terms. The revision does not change Evernorth's disclosed XRP positions or treasury strategies. The company continues to say that after becoming a listed company, it will increase its holdings per share of XRP through treasury operations, participation in the XRP ecosystem and capital market activities.

According to CoinGecko data, XRP traded close to US$1.41 on September 21, rising by about 1.6% in 24 hours, with intraday fluctuations ranging from US$1.37 to US$1.44. Market data does not suggest Evernorth's financing agreement contributed to the price increase.
