South Korea plans to introduce detailed regulatory regulations on the issuance and trading of tokenized securities

The Korea Financial Commission (FSC) recently proposed detailed regulatory regulations on the issuance and trading of tokenized securities. With the country's relevant regulatory framework scheduled to come into effect in February 2027, this proposal aims to lay the legal foundation for the digital asset market.

According to the new regulations, stocks, bonds, funds and some shares of investment securities will be allowed to be issued and circulated in the form of tokenization. This move marks an important step in the migration of traditional financial assets to blockchain infrastructure.

The

Issuer Qualifications and Capital Requirements

proposal also introduces specific requirements for companies issuing and managing tokenized securities. If a company directly manages customer accounts and issues tokenized securities, its equity capital must not be less than 4 billion won (approximately US$2.8 million). In addition, such companies must have dedicated compliance teams and technical staff to ensure operations meet regulatory standards and ensure system security.

New over-the-counter market licenses and investment limits

At the same time, amendments to capital markets regulations will also create a new over-the-counter (OTC) exchange license specifically for trading in debt securities. In order to protect the interests of investors, the new regulations stipulate that each retail investor's annual net purchase limit on each OTC exchange is 100 million won (approximately US$70,000).

Roadmap and implementation timetable

The proposal builds on the "three-phase roadmap" announced on September 4 and aims to gradually migrate the issuance and trading of securities to distributed ledger technology (DLT) infrastructure. Relevant rules will be publicly solicited from Friday to November 11, and then enter the approval process. These regulations are expected to come into effect on February 4, 2027, when the amendments will also recognize the status of distributed ledgers as an infrastructure for securities issuance and circulation.
