PEPE Canary Capital advances the PEPE ETF application in advance and plans to be listed on the Cboe BZX Exchange.
On October 2, Canary Capital Group LLC submitted a pre-effective amendment to its Fund Form S-1 registration statement with the U.S. Securities and Exchange Commission (SEC), thereby advancing the PEPE ETF application process in advance. The revised document details how the Canary PEPE ETF will hold PEPE Coin (the token behind the Pepe Frog meme) and confirms that the fund's shares are expected to be listed on the Cboe BZX exchange.
Trust structure disclosed in the amendment document
According to the amendment document, the trust's investment objective is to track the price performance of PEPE Coin held by the fund, and its net asset value after deducting operating expenses will be calculated based on the CoinDesk PEPE benchmark interest rate maintained by the CoinDesk Index (quoted at 60 minutes New York time).
In this structure, Canary Capital Group LLC serves as the initiator, BitGo Bank & Trust, N.A. Responsible for custody of the fund's PEPE assets, CSC Delaware Trust Company serves as trustee, U.S. Bancorp Fund Services serves as transfer agent, and U.S. Bank N.A. They will act as cash custodian. Fund shares will be issued in the form of 10,000 shares per basket. Currently, the code symbol (Ticker Symbol) in the file is still blank, indicating that it has not been formally allocated. The fund was organized in a Delaware statutory trust, with amendments signed by Canary CEO Steven McClurg.
